Overview
A growing organization is seeking a Corporate Counsel to serve as a key legal partner supporting a wide range of legal matters including corporate, commercial, technology, regulatory, compliance, employment, privacy, data security, and operational issues. This role involves managing legal matters from intake through completion, providing clear and practical advice to business teams across the company.
Responsibilities
- Serve as a legal partner across corporate, commercial, technology, regulatory, compliance, employment, privacy, data security, and operational matters
- Draft, review, negotiate, and manage commercial agreements such as software, SaaS, AI, vendor, technology, data-related, confidentiality, service, licensing, and other business contracts
- Maintain corporate securities filings with the SEC, including Form 4, Form S-8, Form 8-K, and similar filings
- Provide legal guidance on corporate transactions and agreements
- Manage contract matters end-to-end: intake, drafting, negotiation, stakeholder alignment, escalation of material risks, and final execution
- Develop and improve legal templates, contract playbooks, clause libraries, approval workflows, intake processes, and scalable legal operations
- Assist with regulatory and compliance-related contract issues involving employment, privacy, data security, consumer protection, corporate securities (SEC), and financial technology
- Support disputes and coordinate with outside counsel as needed
- Perform special legal projects for senior leadership
- Support strategic initiatives impacting People, Product, and Business Development teams
- Manage and maintain non-U.S. subsidiary corporate governance compliance requirements for foreign entities
Requirements
- Juris Doctor (JD) from an accredited law school
- Active membership in at least one U.S. state bar; eligibility to practice as in-house counsel in the District of Columbia if not admitted there
- Minimum of 4 years of relevant legal experience
- Strong business judgment and attention to detail with the ability to prioritize material legal risks
- Ability to clearly explain legal concepts to non-lawyers
- Excellent written and verbal communication skills
- Ability to work efficiently in a fast-paced, cross-functional environment
- Experience managing multiple competing priorities and discerning appropriate focus
- Experience with legal contract management software (Salesforce preferred)
