Overview
A healthcare software organization is seeking a business-oriented, motivated, and resourceful attorney to join their Legal Team. The portfolio includes mission-critical software supporting hospitals, health systems, providers, and health plans primarily in the U.S., with solutions also deployed across North America, the UK, Europe, and Australia. This role focuses on U.S. healthcare and technology legal matters.
Responsibilities
- Manage legal matters for assigned healthcare business units.
- Draft, review, and negotiate a variety of commercial agreements including license agreements, reseller agreements, service agreements, technology development agreements, and non-disclosure agreements.
- Lead the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions based on experience.
- Develop and maintain template agreements aligned with business and legal requirements.
- Collaborate with Legal & Compliance and cross-functional teams to advise internal clients and support business growth.
- Represent business unit interests in interactions with customers, vendors, partners, and external counsel.
- Assist with various legal matters as assigned.
- Monitor and identify legal trends and risks in the evolving regulatory environment.
Requirements
- JD degree and membership in good standing of a State Bar.
- Minimum of 3 years of experience at a reputable firm or company.
- Strong understanding of legal issues related to technology contracts, software license agreements, and U.S. healthcare laws including HIPAA.
- Ability to work independently and collaboratively with excellent judgment.
- Excellent interpersonal skills with the ability to provide clear and concise legal advice verbally and in writing.
- Ability to manage multiple diverse matters and projects simultaneously.
- Knowledge of U.S. healthcare law, data privacy, and security.
- Familiarity with technology/software license agreements.
Preferred Qualifications
- Experience with international contracting, including GDPR, UK, and other international privacy laws.
- Experience with international medical device regulatory and contracting matters.
- Familiarity with the California Consumer Privacy Act (CCPA) and other state privacy and breach notification laws.
Compensation & Benefits
- Salary range: $95,000 to $140,000 USD per year, based on experience, skills, market conditions, and internal equity.
- Three weeks of vacation (increasing with tenure) plus five personal days.
