Overview
The organization is seeking a Corporate Counsel to support assigned healthcare business units. This role is focused primarily on U.S. healthcare and technology businesses, with work that may also involve technology solutions used globally.
This position reports to the Associate General Counsel, Privacy. The role is remote and eligible for candidates in the U.S.
Responsibilities
- Manage legal matters for assigned business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements (NDAs)
- Lead (based on experience) the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions.
- Create and maintain template agreements based on business and legal requirements.
- Partner with the Legal & Compliance team and cross-functional teams to identify needs, advise and counsel internal stakeholders, and support business growth.
- Represent the needs and concerns of business units in interactions with customers, vendors, and partners.
- Coordinate with external counsel on negotiations and dispute resolution.
- Review and proactively identify legal trends and risks in a changing regulatory environment.
Requirements
- 4+ years of experience from a well-regarded law firm or company.
- Strong understanding of legal issues arising under technology contracts and software license agreements.
- Knowledge of U.S. healthcare laws, including HIPAA.
- Understanding of data privacy and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and collaboratively, with strong business judgment.
- Excellent interpersonal skills and ability to provide clear, succinct legal advice and analysis verbally and in writing.
- Ability to manage multiple matters, issues, and projects simultaneously.
- JD Degree.
- Member in good standing of a State Bar.
Preferred Qualifications
- International contracting experience, including experience with GDPR, UK, and other international privacy laws (plus).
- International medical device regulatory and/or contracting experience (plus).
- Familiarity with the CCPA and other State privacy and breach notification laws (plus).
Compensation & Benefits
- Salary range: $90,000 - 130,000/annually
