Overview

The organization is seeking a Corporate Counsel to join its Legal Team. This role primarily supports U.S. healthcare and technology business units, with legal matters that may also involve software solutions used worldwide, including North America, the UK, Europe, and Australia.

This position reports to the Associate General Counsel, Privacy. The role is remote and eligible to candidates in the U.S.

Responsibilities

  • Handle legal matters for assigned healthcare business units.
  • Draft, review, and negotiate commercial agreements and contracts, including:
    • Software license agreements
    • Reseller agreements
    • Service agreements
    • Technology development agreements
    • Non-disclosure agreements
  • Lead, end-to-end, the structuring, drafting, review, negotiation, and closing of corporate and commercial transactions (based on experience level).
  • Create and maintain template agreements based on business and legal requirements.
  • Partner with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
  • Represent the needs and concerns of business units in interactions with customers, vendors, and other partners.
  • Coordinate with external counsel on negotiations and dispute resolution; assist with other legal matters as assigned.
  • Review and proactively identify legal trends and risks in response to a changing regulatory environment.

Requirements

  • 4+ years of experience from a well-respected firm or company.
  • Strong understanding of legal issues involving:
    • Technology contracts
    • Software license agreements
    • U.S. healthcare laws, including HIPAA
  • Strong drafting skills.
  • Highly motivated, organized, and capable of strong business judgment.
  • Knowledge of U.S. healthcare law, including HIPAA, data privacy and security.
  • Familiarity with reviewing and drafting technology/software license agreements.
  • Ability to work independently and as part of a team; excellent judgment.
  • Ability to provide clear, concise legal advice and analysis in both verbal and written form.
  • Ability to manage a diverse scope of matters, issues, and projects simultaneously.
  • JD degree and member in good standing of a State Bar.

Preferred Qualifications

  • International contracting experience, including experience with GDPR and UK privacy laws.
  • International medical device regulatory and/or contracting experience.
  • Familiarity with the CCPA and other state privacy and breach notification laws.

  • Salary range: $90,000 - $130,000 annually
