Overview
The organization is seeking a motivated, organized Corporate Counsel to join the Legal Team, reporting to the Associate General Counsel, Privacy. This role is primarily focused on U.S. healthcare and technology business units, with opportunities involving technology and commercial agreements across multiple regions.
This position is remote and eligible to candidates in the U.S.
Responsibilities
- Handle legal matters for assigned healthcare business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Based on experience level, lead the end-to-end structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions.
- Create and maintain template agreements based on business and legal requirements.
- Collaborate with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
- Represent the business units’ needs and concerns in interactions with customers, vendors, and other partners.
- Coordinate with external counsel as needed for negotiations and dispute resolution.
- Assist with other legal matters as assigned.
- Review and proactively identify legal trends and risks in a changing regulatory environment.
Requirements
- 4+ years of experience from a well-respected firm or company.
- Strong understanding of legal issues related to:
- Technology contracts
- Software license agreements
- U.S. healthcare laws, including HIPAA
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and collaboratively, with strong business judgment.
- Excellent interpersonal skills and ability to provide clear, succinct legal advice and analysis in both verbal and written form.
- Ability to manage a diverse scope of matters, issues, and projects simultaneously.
- JD degree and membership in good standing of a State Bar.
Preferred Qualifications
- International contracting experience, including experience with GDPR and UK/international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other state privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - $130,000 annually
