Overview
The organization is seeking a Corporate Counsel to join its Legal Team. This role primarily supports U.S. healthcare and technology business units, with legal responsibilities that may extend to technology solutions delivered worldwide, including North America, the UK, Europe, and Australia.
This position is remote and eligible for candidates in the U.S. The role reports to the Associate General Counsel, Privacy.
Responsibilities
- Handle legal matters for assigned healthcare business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- license agreements
- reseller agreements
- service agreements
- technology development agreements
- non-disclosure agreements
- Depending on experience level, lead end-to-end structuring, drafting, review, negotiation, and closing of corporate and commercial transactions.
- Create and maintain template agreements based on business and legal requirements.
- Partner with the Legal & Compliance team and cross-functional stakeholders to identify needs, advise internal clients, and support business growth.
- Represent the needs and concerns of business units in interactions with customers, vendors, and partners.
- Coordinate with external counsel on negotiations and dispute resolution.
- Support other legal matters as assigned.
- Monitor and proactively identify legal trends and risks in response to a changing regulatory environment.
Requirements
- 4+ years of experience from a well-respected firm or company.
- Strong understanding of legal issues arising under technology contracts, software license agreements, and U.S. healthcare laws, including HIPAA.
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Experience reviewing and drafting technology/software license agreements.
- Ability to work independently and collaboratively while exercising sound judgment.
- Excellent interpersonal skills; ability to provide clear, concise legal advice and analysis to business units and the Legal team (verbal and written).
- Ability to manage multiple matters, issues, and projects simultaneously.
- JD degree.
- Member in good standing of a State Bar.
Preferred Qualifications
- International contracting experience, including experience with GDPR, UK, and other international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other State privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - 130,000/annually
