Overview

The organization is seeking a Corporate Counsel to join its Legal Team. This role focuses primarily on U.S. healthcare and technology business units, with work that may also involve global technology solutions across North America, the UK, Europe, and Australia.

This position reports to the Associate General Counsel, Privacy. This is a remote role and is eligible for candidates in the U.S.

Responsibilities

  • Handle legal matters for assigned healthcare business units.
  • Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
    • License agreements
    • Reseller agreements
    • Service agreements
    • Technology development agreements
    • Non-disclosure agreements
  • Based on experience level, lead the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions end to end.
  • Create and maintain template agreements aligned with business and legal requirements.
  • Partner with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
  • Represent the needs and concerns of business units in interactions with customers, vendors, and partners; collaborate with external counsel on negotiations and dispute resolution; assist with other legal matters as assigned.
  • Review and proactively identify legal trends and risks in response to a changing regulatory environment.

Requirements

  • 4+ years of experience from a well-respected firm or company.
  • Strong understanding of legal issues arising under:
    • Technology contracts
    • Software license agreements
    • U.S. healthcare laws, including HIPAA
  • Highly motivated, organized, and able to apply strong business judgment.
  • Exceptional drafting skills.
  • Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
  • Familiarity with reviewing and drafting technology/software license agreements.
  • Ability to work independently and as part of a team, exercising excellent judgment.
  • Ability to provide sound, clear, and succinct legal advice and analysis to business units and the Legal team (verbal and written).
  • Ability to manage multiple matters, issues, and projects simultaneously.
  • JD degree.
  • Member in good standing of a State Bar.

Preferred Qualifications

  • International contracting experience; experience with GDPR, UK, and other international privacy laws.
  • International medical device regulatory and/or contracting experience.
  • Familiarity with the CCPA and other State privacy and breach notification laws.

Compensation & Benefits

  • Salary range: $90,000 - 130,000/annually
