Overview
The organization is seeking a Corporate Counsel to support assigned healthcare business units. This role focuses primarily on U.S. healthcare and technology businesses, including legal work related to technology contracts, software license agreements, and U.S. healthcare laws such as HIPAA. Additional contracting experience may involve international privacy laws depending on the business needs.
This position reports to the Associate General Counsel, Privacy. This is a remote role and eligible for candidates located anywhere in the U.S.
Responsibilities
- Handle legal matters for assigned healthcare business units.
- Draft, review, and negotiate commercial agreements and contracts, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Based on experience level, lead the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions from beginning to end.
- Create and maintain template agreements based on business and legal requirements.
- Collaborate with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
- Represent business unit needs in interactions with customers, vendors, and other partners.
- Coordinate with external counsel on negotiations and dispute resolution; assist with other assigned legal matters.
- Review and proactively identify legal trends and risks in response to the changing regulatory environment.
Requirements
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and as part of a team, exercising sound judgment.
- Strong interpersonal skills and ability to provide clear, concise legal advice and analysis to business units and the Legal team (verbal and written).
- Ability to manage a diverse scope of matters, issues, and projects simultaneously.
- Juris Doctor (JD) degree.
- Member in good standing of a State Bar.
- 4+ years of experience from a well-respected firm or company.
Preferred Qualifications
- International contracting experience; experience with GDPR, UK, and other international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other state privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - $130,000 annually.
- Eligible for a Bonus Program.
