Overview
The organization is seeking a business-oriented, motivated, resourceful Corporate Counsel to join its Legal Team. This role primarily supports U.S. healthcare and technology business units, with the organization’s software solutions also used worldwide (including North America, the UK, Europe, and Australia).
This position reports to the Associate General Counsel, Privacy. It is remote and eligible for candidates in the U.S.
Responsibilities
- Handle legal matters for assigned healthcare business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Based on experience level, lead end-to-end structuring, drafting, review, negotiation, and closing of corporate and commercial transactions.
- Create and maintain template agreements based on business and legal requirements.
- Partner with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
- Represent the business units’ needs and concerns in interactions with customers, vendors, and partners.
- Interact with external counsel on negotiations and dispute resolution, as needed.
- Review and proactively identify legal trends and risks in a changing regulatory environment.
Requirements
- 4+ years of experience from a well-regarded firm or company.
- Strong understanding of legal issues related to:
- Technology contracts and software license agreements
- U.S. healthcare laws, including HIPAA
- Highly motivated and organized with strong business judgment.
- Exceptional drafting skills.
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and as part of a team while exercising excellent judgment.
- Excellent interpersonal skills and ability to provide sound, clear, and succinct legal advice and analysis (verbal and written).
- Ability to manage a diverse scope of matters, issues, and projects simultaneously.
- JD degree and member in good standing of a State Bar.
Preferred Qualifications
- International contracting experience, including GDPR, UK, and other international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other state privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - 130,000/annually
