Overview

The organization is seeking a Corporate Counsel to join its Legal Team. This role supports U.S. healthcare and technology business units, with matters that may also involve software solutions provided worldwide. The position reports to the Associate General Counsel, Privacy.

This is a remote role eligible for candidates in the U.S.

Responsibilities

  • Handle legal matters for assigned healthcare business units.
  • Draft, review, and negotiate commercial agreements and contracts, including:
    • license agreements
    • reseller agreements
    • service agreements
    • technology development agreements
    • non-disclosure agreements
  • Lead end-to-end structuring, drafting, review, negotiation, and closing of corporate and commercial transactions, based on experience level.
  • Create and maintain template agreements aligned with business and legal requirements.
  • Partner with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
  • Represent business unit needs and concerns in interactions with customers, vendors, and other partners.
  • Interact with external counsel on negotiations and dispute resolution.
  • Support other legal matters as assigned.
  • Review and proactively identify legal trends and risks in response to evolving regulatory requirements.

Requirements

  • 4+ years of experience from a well-respected firm or company.
  • Strong understanding of legal issues related to technology contracts, software license agreements, and U.S. healthcare laws, including HIPAA.
  • Knowledge of U.S. healthcare law, including HIPAA, data privacy and security.
  • Familiarity with reviewing and drafting technology/software license agreements.
  • Ability to work independently and as part of a team, with strong judgment.
  • Excellent interpersonal skills; ability to provide clear, succinct legal advice and analysis in both verbal and written form.
  • Ability to manage a diverse scope of matters, issues, and projects simultaneously.
  • JD degree.
  • Member in good standing of a State Bar.

Preferred Qualifications

  • International contracting experience; experience with GDPR, UK, and other international privacy laws.
  • International medical device regulatory and/or contracting experience.
  • Familiarity with the CCPA and other State privacy and breach notification laws.

Compensation & Benefits

  • Salary range: $90,000 - 130,000 annually
