Overview
The organization is seeking a business-oriented, motivated, and organized Corporate Counsel to join the Legal Team. This position primarily supports U.S. healthcare and technology business units, with potential exposure to software solutions provided worldwide, including throughout North America, the UK, Europe, and Australia.
Reporting to the Associate General Counsel, Privacy, this role is responsible for legal matters for assigned business units and provides counsel on technology contracts, software licensing, and U.S. healthcare laws including HIPAA.
This is a remote position eligible to candidates in the U.S.
Responsibilities
- Handle legal matters for assigned business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Lead, from start to finish, the structuring, drafting, review, negotiation, and closing of corporate and commercial transactions (based on experience level).
- Create and maintain template agreements based on business and legal requirements.
- Collaborate with Legal & Compliance and cross-functional teams to identify needs, advise internal clients, and support business growth.
- Represent the needs and concerns of business units in interactions with customers, vendors, and other partners.
- Interact with external counsel on negotiations and dispute resolution, and assist with other assigned legal matters.
- Review and proactively identify legal trends and risks in response to a changing regulatory environment.
Requirements
- 4+ years of experience from a well-respected firm or company.
- Strong understanding of legal issues arising under technology contracts and software license agreements.
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and collaboratively while exercising strong business judgment.
- Excellent interpersonal skills and ability to provide sound, clear, and succinct legal advice and analysis to business units and the Legal team (verbal and written).
- Ability to manage a diverse scope of matters, issues, and projects simultaneously.
- JD degree and member in good standing of a State Bar.
Preferred Qualifications
- International contracting experience, including experience with GDPR, UK, and other international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other State privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - 130,000/annually
