Overview
This role supports U.S. healthcare and technology business units by handling a range of corporate and commercial legal matters, with emphasis on technology contracts, software licensing, and U.S. healthcare laws, including HIPAA.
The position reports to the Associate General Counsel, Privacy and is remote, with eligibility for candidates in the U.S.
Responsibilities
- Provide legal support for assigned healthcare business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Lead, from beginning to end, the structuring, drafting, review, negotiation, and closing of corporate and commercial transactions (based on experience level).
- Create and maintain template agreements based on business and legal requirements.
- Partner with the Legal & Compliance team and cross-functional stakeholders to identify needs, advise internal clients, and support business growth.
- Represent the needs and concerns of business units with customers, vendors, and partners; coordinate with external counsel on negotiations and dispute resolution; assist with other assigned legal matters.
- Review and proactively identify legal trends and risks within a changing regulatory environment.
Requirements
- 4+ years of experience from a well-respected firm or company.
- Strong understanding of legal issues arising under technology contracts, software license agreements, and U.S. healthcare laws, including HIPAA.
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and collaboratively, with strong judgment.
- JD degree.
- Member in good standing of a State Bar.
- Ability to provide sound, clear, and succinct legal advice and analysis to business units and the Legal team (verbal and written).
- Ability to manage multiple matters, issues, and projects simultaneously.
Preferred Qualifications
- International contracting experience.
- Experience with GDPR, UK, and other international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other state privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - 130,000/annually
