Overview

The organization is seeking a Corporate Counsel to join its Legal Team. This remote role is eligible to anyone in the U.S.

Primary focus is on U.S. healthcare and technology businesses, including legal matters involving technology contracts, software license agreements, and U.S. healthcare laws (including HIPAA). Responsibilities will cover assigned business units, with work that may include customers, vendors, and other partners.

Responsibilities

  • Provide legal support for assigned healthcare business units.
  • Draft, review, and negotiate commercial agreements and contracts, including:
    • License agreements
    • Reseller agreements
    • Service agreements
    • Technology development agreements
    • Non-disclosure agreements (NDAs)
  • Lead (from structuring through closing, based on experience level) corporate and commercial transactions, including drafting, reviewing, and negotiating.
  • Create and maintain template agreements aligned with business and legal requirements.
  • Collaborate with the Legal & Compliance Department and cross-functional teams to identify needs, advise internal clients, and support business growth.
  • Represent the needs and concerns of business units in interactions with customers, vendors, and partners.
  • Coordinate with external counsel on negotiations and dispute resolution and assist with other assigned legal matters.
  • Monitor legal trends and proactively identify risks in response to evolving regulatory requirements.

Requirements

  • 4+ years of experience from a well-respected firm or company.
  • Firm understanding of legal issues arising under:
    • Technology contracts
    • Software license agreements
    • U.S. healthcare laws, including HIPAA
  • Strong business judgment, highly organized approach, and exceptional drafting skills.
  • Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
  • Familiarity with reviewing and drafting technology/software license agreements.
  • Ability to work independently and as part of a team; excellent judgment.
  • Ability to provide clear, succinct legal advice and analysis in both verbal and written form.
  • Ability to manage a diverse scope of matters, issues, and projects simultaneously.
  • JD degree.
  • Member in good standing of a State Bar.

Preferred Qualifications

  • International contracting experience.
  • Experience with GDPR, UK, and other international privacy laws.
  • International medical device regulatory and/or contracting experience.
  • Familiarity with the CCPA and other state privacy and breach notification laws.

Compensation & Benefits

  • Salary range: $90,000 - 130,000/annually
