Overview
The organization is seeking a Corporate Counsel to support legal matters for assigned healthcare business units. This role primarily focuses on U.S. healthcare and technology businesses, with the possibility of work supporting customers and operations worldwide, including North America, the UK, Europe, and Australia.
This position reports to the Associate General Counsel, Privacy. This is a remote role eligible to candidates located anywhere in the U.S.
Responsibilities
- Handle legal matters for assigned healthcare business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Lead, from beginning to end (based on experience), the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions.
- Create and maintain template agreements based on business and legal requirements.
- Partner with members of the Legal & Compliance Department and cross-functional teams to identify needs, advise internal clients, and support business growth.
- Represent the needs and concerns of business units in discussions with customers, vendors, and partners.
- Interact with external counsel on negotiations and dispute resolution and assist with other assigned legal matters.
- Review and proactively identify legal trends and risks in response to a changing regulatory environment.
Requirements
- 4+ years of experience from a well-respected firm or company.
- Strong understanding of legal issues arising under technology contracts, software license agreements, and U.S. healthcare laws, including HIPAA.
- Knowledge of U.S. healthcare law, including HIPAA, data privacy and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Must be able to work independently and as part of a team while exercising strong business judgment.
- Excellent interpersonal skills, with the ability to provide clear, succinct legal advice and analysis verbally and in writing.
- Ability to manage a diverse scope of matters, issues, and projects simultaneously.
- J.D. degree.
- Member in good standing of a State Bar.
Preferred Qualifications
- International contracting experience, including experience with GDPR and UK and other international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other state privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - $130,000 annually
