Overview
The organization is seeking a Corporate Counsel to join its Legal Team. This role primarily supports U.S. healthcare and technology business units, with exposure to global software solutions used across North America, the UK, Europe, and Australia.
This position reports to the Associate General Counsel, Privacy. The role is remote and eligible to candidates in the U.S.
Responsibilities
- Handle legal matters for assigned business units.
- Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
- License agreements
- Reseller agreements
- Service agreements
- Technology development agreements
- Non-disclosure agreements
- Lead, end-to-end, the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions (based on experience level).
- Create and maintain template agreements based on business and legal requirements.
- Partner with Legal & Compliance and cross-functional teams to identify needs, advise and counsel internal stakeholders, and support business growth.
- Represent business unit needs and concerns in interactions with customers, vendors, and partners.
- Coordinate with external counsel on negotiations and dispute resolution, and assist with other legal matters as assigned.
- Review and proactively identify legal trends and risks in response to a changing regulatory environment.
Requirements
- 4+ years of experience from a well-respected firm or company.
- Strong understanding of legal issues arising under technology contracts, software license agreements, and U.S. healthcare laws including HIPAA.
- Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
- Familiarity with reviewing and drafting technology/software license agreements.
- Ability to work independently and collaboratively while exercising excellent judgment.
- JD degree and membership in good standing of a State Bar.
- Strong interpersonal skills and ability to provide clear, succinct legal advice and analysis verbally and in writing.
- Ability to manage a diverse scope of matters, issues, and projects simultaneously.
Preferred Qualifications
- International contracting experience, including experience with GDPR and UK/international privacy laws.
- International medical device regulatory and/or contracting experience.
- Familiarity with the CCPA and other State privacy and breach notification laws.
Compensation & Benefits
- Salary range: $90,000 - 130,000/annually
- Bonus eligibility: eligible for the Bonus Program
- Vacation: 3 weeks’ vacation (increases with tenure)
