Overview

This role involves providing legal support and managing day-to-day contracting needs for an assigned business unit under the direction of senior legal counsel. The Corporate Counsel I serves as the primary legal contact for internal clients, handling drafting, reviewing, negotiating, and approving various commercial contracts such as vendor agreements, licensing agreements, consulting agreements, software agreements, services agreements, business associate agreements, information security agreements, confidentiality agreements, and other legal documents. The position also contributes to improving contracting processes, developing agreement templates, and conducting training sessions on relevant legal matters.

The role requires collaboration with business teams and senior management in a complex, fast-paced environment, providing clear, actionable, and timely legal guidance and risk assessment. Regular interaction with senior management, business partners, vendors, customers, opposing counsel, and privacy and security teams is expected.

Responsibilities

  • Draft, negotiate, and review contracts and amendments prior to management execution (90% of time).
  • Provide counsel to business unit leadership on contractual and regulatory issues.
  • Research legal issues and stay current with case law and court opinions.
  • Assist senior legal counsel with transactional matters, template updates, special projects, and governmental/media relations as needed.
  • Support risk management and litigation issues in coordination with outside counsel (10% of time).
  • Respond to inquiries from customers and business partners.

Requirements

Work Experience

  • Minimum of 5 years of applicable legal experience.

Education

  • Juris Doctorate (required).

Preferred Qualifications

  • Membership in the North Carolina bar.
  • Extensive knowledge of commercial contract law and corporate law.
  • Demonstrated ability to work independently and accurately under tight deadlines.
  • Strong skills in drafting and negotiating legal documents.
  • Analytical reasoning and organizational/time management skills.
  • Academic standing in the top 25% of law school class preferred.

Compensation & Benefits

  • Salary range: $113,000 - $188,000, dependent on factors such as departmental budgets, internal equity, education, skills/experience, and geographic location.
