Overview

The organization is seeking a Corporate Counsel to support commercial contracting as the company scales its sales pipeline by over 50%. This role will focus primarily on sales, partnerships, and commercial relationships—reviewing, advising, and negotiating customer agreements, partner agreements, vendor contracts, amendments, and NDAs.

This position will work within the Legal team and partner directly with business stakeholders to understand objectives and develop business-centric strategies that mitigate risk while enabling the business to move quickly. The role also leverages AI tools alongside strong legal judgment to drive efficiency.

Responsibilities

  • Partner with Sales and Partnerships teams to review, negotiate, and execute commercial contracts, including customer agreements, reseller and referral agreements, strategic partnership agreements, and vendor contracts; collaborate cross-functionally with Operations, Finance, and Product.
  • Own and continuously refine contract playbooks and negotiation guardrails, including fallback positions, escalation thresholds, and approval authority to drive consistency and speed across the sales pipeline.
  • Partner with Sales Operations and other stakeholders to build contract management infrastructure as the organization scales, including template libraries, workflow tools, and process documentation.
  • Support and guide sales and business teams on deal structure, contract negotiations, and risk assessment, balancing legal risk with business objectives.
  • Serve as a legal point of contact for Sales and Partnerships to enable deal velocity while managing risk.
  • Identify opportunities to improve contract management processes to drive operational efficiencies and standardization.
  • Respond to internal inquiries regarding contractual questions, obligations, and compliance.
  • Stay current on relevant industry issues, including commercial matters, intellectual property, privacy, and compliance.

Requirements

  • 3+ years of experience with commercial transactions in the ecommerce or logistics space.
  • Experience negotiating, drafting, and resolving issues across various types of commercial contracts, including those related to warehousing and logistics, with demonstrated business judgment and the ability to provide practical, risk-balanced advice.
  • Proven ability to ramp quickly and take ownership of a contract portfolio in a fast-paced, high-volume environment.
  • Ability to operate independently in a fast-paced environment and comfort with legal technology, including AI-assisted contract review tools and CLM platforms (Ironclad experience a plus).
  • J.D. from an accredited law school and membership in at least one state bar required.

Preferred Qualifications

  • Excellent written and verbal communication and strong interpersonal skills with a collaborative approach.
  • Exceptional organizational skills, attention to detail, and ability to prioritize work, manage multiple projects, and meet deadlines.
  • Comfort building and refining process and structure where none fully exists yet.
  • Logistics experience; in-house experience.
  • Experience with warehouse liens, bailment law, or UCC Article 7 (warehouse receipts and documents of title).
  • Familiarity with FMCSA broker regulations, transportation law, or logistics compliance requirements.
  • Experience with data privacy agreements, technology contracts, or software licensing arrangements.
