Overview
A life sciences organization is seeking a detail-oriented and proactive Corporate Counsel to join their Legal team. This role focuses primarily on contract review and negotiation to support innovative research and development initiatives. The Corporate Counsel will play a key role in ensuring contractual relationships are sound, compliant, and aligned with business objectives during the company's growth.
Responsibilities
- Draft, review, and negotiate a variety of contracts including NDAs, MSAs, vendor agreements, clinical trial agreements, licensing agreements, and other commercial contracts.
- Collaborate with internal teams such as R&D, Clinical, Regulatory, Procurement, and HR to understand business needs and ensure contracts support operational and strategic goals.
- Provide legal guidance on contract terms, risk mitigation, and compliance with applicable laws and regulations.
- Maintain and manage contract templates and playbooks to promote consistency and efficiency.
- Support contract lifecycle management processes including tracking, reporting, and archiving.
- Assist in developing and implementing policies and procedures related to contract management and legal compliance.
- Stay updated on relevant legal and regulatory developments affecting the life sciences industry.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in a U.S. jurisdiction.
- Minimum of 5 years of experience in contract review and negotiation, preferably within life sciences, pharmaceutical, or healthcare sectors.
- Strong understanding of contract law and commercial transactions.
- Excellent communication, negotiation, and interpersonal skills.
- Ability to manage multiple priorities in a fast-paced environment.
- High attention to detail and strong organizational skills.
- Experience with contract management systems is a plus.
Preferred Qualifications
- At least three years of law firm experience.
- Familiarity with clinical trial agreements and regulatory frameworks such as FDA and HIPAA, or intellectual property and licensing agreements.
- Experience working in a cross-functional team environment.
