Overview
This role is for a Corporate Counsel specializing in R&D and Healthcare Transactions within a busy legal department supporting a molecular diagnostics organization. It is a mid-level transactional attorney position focused on providing clear, actionable legal advice and managing a variety of contract and compliance matters.
Responsibilities
- Independently draft, review, and negotiate a wide range of contracts including clinical study agreements, material transfer agreements, vendor agreements, license agreements, distributorship agreements, services agreements, consulting agreements, payor network agreements, and NDAs.
- Review and approve company documents such as clinical study consent forms and marketing materials as needed.
- Support senior attorneys by providing legal advice and strategy on matters related to the business, particularly international operations and GDPR compliance.
- Manage a heavy workload by prioritizing tasks and meeting deadlines.
- Assist with training and monitoring compliance with legal policies and procedures.
- Liaise with internal clients to respond to contract inquiries and other legal matters.
- Contribute to the development of the legal department’s contract negotiation playbook.
- Handle Protected Health Information (PHI) regularly in both paper and electronic forms, requiring adherence to HIPAA and privacy training.
- Complete required training on HIPAA/PHI privacy, general policies, procedures, and security within the first 30 days of hire and maintain current training status.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school.
- Minimum of 5 years of experience in commercial contracts and general corporate practice, including at least 3 years at a major law firm; in-house experience is a plus.
- Experience advising clients in biotech, life sciences, and/or healthcare industries.
- Membership in the California Bar or eligibility to register as Registered In-House Counsel.
- Proven ability to independently review, draft, negotiate, and finalize complex commercial contracts.
