Overview

This role involves providing governance and corporate legal advice for all subsidiaries of a global Workforce Management Group throughout Europe. The position requires close collaboration with global Corporate Secretarial colleagues, senior stakeholders, and cross-functional teams across multiple jurisdictions to ensure robust legal entity management and effective board governance.

Responsibilities

  • Ensure regulatory and legal compliance throughout each entity's life cycle, including maintaining accurate statutory registers and records, and timely filing of financial statements, annual returns, accounts, director changes, and other corporate maintenance matters.
  • Maintain and obtain corporate documents such as incorporation certificates, articles of association, by-laws, certificates of good standing, and other relevant documents required by law in each jurisdiction.
  • Oversee and ensure prompt renewal of all business licenses, permits, and real estate/workplace-related registrations with relevant authorities.
  • Support review and management of the group’s corporate subsidiary structure, including share capital restructuring, entity formations, and entity rationalization initiatives such as liquidations, dissolutions, and deregistration of branches.
  • Provide board and governance support by scheduling meetings, preparing notices and agendas, drafting AGMs/board minutes and resolutions, and advising directors on their duties, roles, and best practices.
  • Prepare various corporate and secretarial documents, including share capital forms, share transfer agreements, confidentiality agreements, powers of attorney, and legal memoranda.
  • Draft intercompany agreements reflecting the group’s commercial, legal, and tax requirements within each relevant jurisdiction.
  • Maintain accuracy of the group’s centralized corporate entity platform for all European entities, including details of incorporation, director appointments, share ownership, and authorized signatories.
  • Manage relationships with external corporate legal counsels and secretarial service providers for each jurisdiction, partnering with Procurement, Accounts Payable, and Finance as needed.
  • Liaise proactively with internal stakeholders such as HR, Treasury, Finance, Tax, Employment, and Regulatory teams to ensure alignment of corporate matters with organizational goals.
  • Contribute to the ongoing development and improvement of the global Corporate Secretarial function.

Requirements

  • Qualified Solicitor admitted to the Bar in a European jurisdiction.
  • Excellent written and verbal communication skills, with the ability to clearly articulate complex issues to senior stakeholders.
  • Minimum of 3 years post-qualification experience in a corporate secretarial or governance role, either within a law firm or in-house in an international group.
  • Proven expertise in corporate law or governance across multiple jurisdictions.
  • Strong teamwork, project management, and collaboration skills.
  • Ability to work independently in a fast-paced in-house environment managing multiple priorities.
