Overview
This role serves as the organization’s day-to-day Corporate Counsel and works closely with the General Counsel. The position supports high-volume legal intake across commercial, corporate, marketing/sales compliance, legal operations, and cross-functional initiatives.
Key responsibilities include drafting, reviewing, and negotiating agreements; owning privacy/data protection and information security questions; directing legal operations support to keep intake and contracts moving; and escalating matters to the General Counsel when appropriate.
Responsibilities
Commercial & Corporate
- Draft, review, and negotiate agreements across the business, including vendor contracts, MSAs, NDAs, SOWs, sponsorship and partnership agreements, and event and venue contracts.
- Manage a mixed docket of dozens of open matters across entities and business units, continuously re-prioritizing without dropping items.
- Own day-to-day privacy, data protection, and information security questions, including consent practices and vendor data terms; escalate regulatory strategy to the General Counsel.
- Support the General Counsel on investment documents, diligence, and litigation matters as needed (drafting, discovery, and coordination with outside counsel).
Marketing & Sales Compliance
- Review marketing, advertising, and sales materials for FTC Act Section 5 compliance, including testimonials, earnings claims, and required disclosures.
- Advise sales on outbound calling and texting compliance, including the TCPA and state telemarketing rules.
- Partner with marketing, sales, and technology teams to continuously improve the compliance program.
Legal Operations
- Direct the paralegal and legal operations specialist, including workload management, day-to-day priorities, and development.
- Own intake quality by scoping unclear requests up front and reframing asks before work starts.
- Maintain a same-day acknowledgment standard: ensure every request receives a response, an owner, and a realistic timeline—even when the full answer takes longer.
- Maintain and improve templates, playbooks, and AI-assisted workflows to reduce turnaround time as volume grows.
Cross-Functional Partnership
- Act as the standing legal contact for internal teams so they can obtain timely answers without routing everything through the General Counsel.
- Flag risk and negotiation leverage to procurement and business owners during vendor and partner discussions.
- Review people operations forms, policies, and processes, with the General Counsel as primary on anything ELT-sensitive.
- Identify issues, take ownership, and drive resolution.
Requirements
- J.D. and active bar membership in good standing.
- 3+ years of relevant experience, including in-house at a high-growth company, covering commercial contracts, compliance, corporate governance, and general business advising.
- Hands-on experience with FTC Act Section 5 and advertising compliance.
- Experience with GDPR, CCPA, and the TCPA is strongly preferred.
- Experience running and improving legal operations (intake workflows, contract lifecycle management, matter tracking, or legal technology).
- Experience directing paralegal or legal operations staff.
- Background supporting advisory, professional services, events, or tech businesses preferred; investment or fund exposure is a plus.
- Ability to use AI and automation first while knowing where human review is required.
- Ability to explain legal issues clearly to non-lawyers and build trust across sales, operations, marketing, and vendor-facing teams.
