Overview
This full-service law firm specializes in complex corporate, litigation, executive compensation, and private wealth matters, focusing on both economic and legal aspects. The firm serves founders, senior executives, ultra-high-net-worth individuals (UHNWIs), and their related businesses.
Responsibilities
- Work directly with senior corporate partners who are highly ranked practitioners with backgrounds from top law firms and M&A desks.
- Represent buyers, sellers, and founders in M&A transactions ranging from $50 million to over $1 billion.
- Structure and negotiate joint ventures across various industries.
- Handle investment management and fund-related work, including spinouts, rollups, and manager combinations.
- Manage finance, fintech, and cryptocurrency transactions at the intersection of capital markets and emerging technologies.
- Address cybersecurity and data privacy issues related to deals.
- Collaborate with a dedicated tax team for tax-integrated deal structuring.
- Engage in commercially driven, practical work with direct involvement in transactions rather than prolonged diligence.
Requirements
Candidates must meet all three of the following pillars equally:

Pedigree:
- Training at an AmLaw 30 firm, ideally within a top-tier M&A or corporate practice.
- Law school preparation for complex market work.
- 4–8 years of post-law school experience in corporate transactions, including meaningful exposure to joint ventures and diverse deal structures.

Deal Capability:
- Experience leading diligence workstreams, drafting and negotiating acquisition agreements, and managing deal timelines independently.
- Commercially minded with a strong understanding of deal economics beyond documentation.
- Recognized as a key associate on complex transactions.

AI Orientation:
- Strong technology orientation is essential and weighted equally with pedigree and firm experience.
- Demonstrated ability to leverage AI to enhance speed, intelligence, and value in legal work.
Preferred Qualifications
- Experience working with senior partners and clients from early stages.
- Ability to work independently without an office mandate.
- Commitment to client outcomes over internal practice group politics.
