Overview
A nationwide healthcare organization specializing in women's health is seeking an experienced Corporate Paralegal to join their Legal team. The organization operates over 815 clinics, 23 IVF labs, and offers nationwide telehealth services, supported by more than 2,700 independent affiliated providers. The Legal team supports a broad range of healthcare services including laboratory, imaging, and virtual health.
This role provides comprehensive support to attorneys on matters such as corporate governance, regulatory analysis, annual filings, reporting, risk management, and project management. The Corporate Paralegal will work closely with attorneys, compliance professionals, and business stakeholders to maintain corporate records, coordinate governance activities, and conduct legal and regulatory research related to healthcare operations.
Responsibilities
- Prepare organizational documents including operating agreements, articles of incorporation, certificates of formation, and foreign state qualifications for corporations, partnerships, and limited liability companies.
- Prepare and file annual reports in states where entities are formed or qualified to do business.
- Manage large volumes of electronic and paper documents; organize, index, and track files.
- Form new entities, obtain EINs, good standing certificates, and related legal documents.
- Conduct legal research related to healthcare laws, regulations, and administrative guidance.
- Assist with drafting, reviewing, and formatting legal documents and correspondence.
- Organize and maintain legal department files and entity management systems.
- Coordinate with external counsel and internal departments to gather information necessary for legal projects.
Qualifications
- Bachelor’s degree or equivalent experience required.
- Minimum of 5 years of paralegal experience in corporate governance.
- NALA or NFPA certification strongly preferred.
- Strong oral and written communication skills.
- Ability to work effectively in a fast-paced office environment.
- Excellent attention to detail and time management skills.
- Strong critical thinking and problem-solving abilities.
- Demonstrated ability to exercise good judgment and maintain confidentiality.
