Corporate Secretary

Overview

A senior Company Secretary professional with over 15 years of experience is sought to support a large international financial institution on a long-term secondment engagement through to the end of 2026. This role involves close collaboration with the General Counsel and Company Secretary, focusing on corporate governance, board and shareholder processes, regulatory compliance, and legal entity management. It is suited to an experienced governance professional comfortable operating in a senior, business-facing environment with significant stakeholder engagement across regulated entities.

Responsibilities

• Manage board and shareholder meeting processes, including preparation of board papers and minutes.
• Maintain statutory registers, delegations, and governance records.
• Support regulatory and corporate governance compliance.
• Advise on signing authorities and board approvals.
• Liaise with regulators, external counsel, and senior stakeholders.
• Support legal entity management activities across the group.

Requirements

• 15+ years post-qualification experience or equivalent.
• Strong expertise in company secretarial and corporate governance.
• Experience serving as a Corporate Secretary within a highly regulated industry.
• Excellent entity management skills with experience handling regulated entities and complex corporate structures.
