Overview

This role supports capital markets and bank partnerships efforts within the organization’s Legal, Compliance, and Public Affairs function. Reporting to the Director, Capital Markets Counsel, Counsel II, Capital Markets will guide financing and capital markets initiatives from legal strategy through deal execution, including domestic and international matters.

Responsibilities

  • Support the capital markets team in building a network of capital sources and financing strategies, including capital markets international expansion
  • Support the bank partnerships team in building a network of originating and card issuing partner banks
  • Guide financing transactions and initiatives from a legal perspective, from strategy discussions through deal execution
  • Draft, review, and negotiate U.S. and international capital markets deal documents, including:
    • Credit and security agreements
    • Loan sale agreements
    • Indentures
    • Officer certificates
    • Board and shareholder resolutions
    • Side letters
  • Apply knowledge of lending and securities laws and regulations relevant to capital markets transactions
  • Communicate legal advice clearly, concisely, and in a timely manner
  • Assist with other special projects as needed

Requirements

  • 5+ years of relevant law-firm experience; preference for some additional in-house experience (particularly from a high-growth fintech start-up)
  • JD from a well-regarded law school and membership (in good standing) in a US state bar
  • Prior legal experience in structured and/or debt finance, including experience with one or more of the following:
    • Term, revolving, and asset-based lending
    • Warehouse and asset-backed financing
    • Loan sales
    • Securitizations
    • Creative forms of funding
  • Outstanding integrity and work ethic
  • Excellent business judgment and interpersonal skills to support negotiations with external and internal customers
  • Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, an eye for business, proactivity, and an excellent attitude
  • Proven experience as a key contributing member of a high-performing team
  • Self-motivation and willingness to take ownership of projects
  • Ability to work efficiently both solo and as part of a team

Compensation & Benefits

  • Pay grade: M
  • Equity grade: 6
  • Employees new to the organization typically come in at the start of the pay range.
  • Base pay ranges (per year):
    • USA base pay range (CA, WA, NY, NJ, CT): $185,000 - $245,000
    • USA base pay range (all other U.S. states): $164,000 - $224,000
  • Base pay is part of a total compensation package that may include equity rewards, monthly stipends for health, wellness and tech spending, and benefits including 100% subsidized medical coverage, dental and vision for you and your dependents.

  • Remote-first with flexibility built in.
  • Most roles can be performed from almost anywhere within the country of employment.
