Overview
This role involves serving as Counsel for Vendor Management & Privacy, providing legal analysis, advice, and support to ensure compliance with legislation, regulatory requirements, and company policies. The position requires partnering with business stakeholders to mitigate risk and support company goals and strategy.
Responsibilities
- Review contracts with vendors and partners to identify gaps in privacy controls and other obligations, ensuring contract compliance.
- Ensure IT Security language in contracts meets industry standards and enhance as needed.
- Analyze contracts and vendor management agreements to determine data flows to and from third parties and ensure effective contractual language.
- Review contracts for necessary language regarding the use of Generative AI technology in the insurance industry.
- Support completion of major audits, including SOC 2 and other privacy-related audits.
- Coordinate contract negotiations, amendments, and renewals directly with vendors.
- Work with business stakeholders to execute Data Processing Addendums and Business Associate Agreements with relevant vendors.
- Review and draft amendments to complex insurance contracts as needed.
- Partner with Finance to ensure vendor contracts meet budgetary requirements.
- Perform other duties as assigned.
Required Knowledge, Skills, and Abilities
- Familiarity with HIPAA and state and federal data privacy laws.
- Background in contract law, contract drafting, and familiarity with SaaS contracting.
- Excellent oral and written communication skills, capable of engaging diverse audiences.
- Ability to act as a key business partner.
- Analytical skills to interpret statutes, regulations, insurance policies, and contracts.
- Strong interpersonal skills to be viewed as a trusted advisor.
- Decision-making ability to set work priorities and make recommendations.
- Strong negotiation and diplomacy skills, unquestionable integrity, strong work ethic, business acumen, and good judgment.
Required Education and Experience
- Juris Doctorate Degree from an accredited law school.
- Active membership in a U.S. State bar.
- Minimum of 2 years of experience as a practicing lawyer or equivalent military experience.
Preferred Education and Experience
- 5+ years of experience as a practicing lawyer.
- Experience in insurance regulation and/or working in a highly regulated environment or industry.
- Experience with federal and/or state regulatory requirements governing Life, Disability, Dental, Supplemental, and/or Absence and Leave Management Insurance products.
- Certified Information Privacy Professional (CIPP) certification.
Compensation and Benefits
- Salary range: $100,000 to $150,000, with anticipated pay for new hires between the minimum and midpoint, subject to variation based on experience, education, location, licensure, proficiency, qualifications, and tenure.
