Overview
A leading commercial rooftop solar developer in the U.S. is seeking a Counsel – General Corporate/Finance attorney to join their legal team. This role involves providing legal support across corporate law, project finance, and project development within the renewable energy sector. The organization operates nationwide with headquarters in Asbury Park, New Jersey, and offices in Chicago, Baltimore, and New York City.
Responsibilities
- Provide general corporate and transactional legal support, including project financing and renewable energy certificates (RECs) transactions.
- Manage entity formation, registration, and ensure compliance with state and federal filings, including FERC.
- Handle subscriber acquisition and related legal documentation.
- Draft, review, and negotiate non-disclosure agreements (NDAs).
- Conduct due diligence on real estate matters to support solar project development.
- Identify and resolve title and survey issues affecting project sites.
- Collaborate with business teams throughout the solar project lifecycle, from development to construction, finance, and energization.
- Ensure compliance with laws and regulations related to real estate and renewable energy development.
- Monitor legal trends and regulatory changes impacting solar projects.
- Research and advise on novel legal issues in new markets, including policy and business development.
- Partner with Business Development to structure and close deals efficiently.
- Provide strategic legal advice to leadership on corporate governance, project considerations, and risk mitigation.
- Deliver expert legal analysis and solutions to support company-wide operations.
Qualifications
- Juris Doctor (J.D.) from an accredited law school with active bar membership in good standing.
- Minimum of 4 years of relevant legal experience in corporate law, project finance, and/or M&A; renewable energy sector experience preferred but not required.
- Strong skills in contract negotiation and corporate regulatory compliance.
- Ability to balance business objectives with legal and regulatory requirements.
- Excellent analytical, communication, presentation, and problem-solving abilities.
- Capable of working independently and collaboratively in a fast-paced environment.
- Detail-oriented with strong organizational skills and ability to manage multiple tasks.
