Overview

Independent contractor (part-time) opportunity for an experienced Derivatives Counsel specializing in ISDA documentation and derivatives transactions. This fully remote role supports the development of next-generation legal AI systems by evaluating and improving AI-generated contract analyses and negotiation workflows involving complex derivatives agreements.

Compensation is task-based with an effective rate of $90–$130 per hour, depending on approved work completed. The average task completion time is approximately 3.5 hours.

Responsibilities

  • Review, draft, negotiate, and redline simulated derivatives agreements, including ISDA Master Agreements and related documentation.
  • Evaluate AI-generated legal analyses, contract revisions, and negotiation recommendations for technical accuracy and legal soundness.
  • Develop structured evaluation rubrics and objective grading criteria to measure AI performance across derivatives-related legal tasks.
  • Assess contract language involving events of default, termination provisions, collateral arrangements, close-out netting, and other key ISDA concepts.
  • Provide detailed legal feedback that improves AI reasoning, risk assessment, and contract interpretation.
  • Collaborate with research, engineering, and product teams to refine legal datasets and evaluation methodologies.
  • Help establish best practices for AI-assisted contract review and legal decision-making.

Required Qualifications

  • Juris Doctor (JD) or equivalent legal qualification.
  • Minimum 3 years of professional experience working with derivatives documentation.
  • Hands-on experience negotiating and drafting:
    • ISDA Master Agreements
    • Credit Support Annexes (CSAs)
    • Limited Partnership Agreements (LPAs)
    • Commercial and financial agreements
  • Strong understanding of:
    • Events of Default
    • Termination Events
    • Close-Out Netting
    • Credit Support and Collateral Provisions
  • Excellent legal drafting, contract negotiation, and analytical skills.
  • Outstanding written and verbal communication abilities.
  • Ability to provide structured, detailed legal feedback with exceptional attention to detail.

Preferred Qualifications

  • Experience working with legal technology or AI-powered legal tools.
  • Prior involvement in AI evaluation, legal annotation, or legal knowledge management projects.
  • Experience creating legal training materials, review guidelines, or evaluation frameworks.
  • Background collaborating with multidisciplinary teams in fast-paced environments.
  • Interest in emerging legal technology and AI innovation.
