Overview

This role involves serving as the Director of Corporate and Securities within the Legal department, reporting to the Executive Director of Corporate and Securities. The position provides leadership on a broad range of corporate, securities, and governance matters for a publicly traded biopharmaceutical company.

Responsibilities

Securities and Corporate Governance

  • Ensure compliance with federal and state securities laws, focusing on the Securities Exchange Act of 1934 and 1933 reporting, Nasdaq compliance, Regulation FD, and insider trading rules.
  • Prepare and review all SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements, Section 16 filings, and registration statements.
  • Maintain governance policies and practices, such as corporate governance guidelines, committee charters, and other governing documents.

Investor Relations and Executive Compensation

  • Review, advise, and assist with quarterly earnings releases, investor presentations, quarterly and annual reports, sustainability reports, and other external communications.
  • Advise on executive compensation activities and maintain and update equity award agreements and related documentation.
  • Support the Total Rewards team in administering employee compensation and benefits programs.

Other Duties

  • Collaborate with and advise various departments including finance, accounting, tax, internal audit, and others as needed.
  • Provide secondary support for capital markets transactions, including debt offerings, credit agreements, treasury matters, strategic transactions such as mergers and acquisitions, dispositions, joint ventures, and investments.
  • Support corporate governance initiatives, including Corporate Sustainability and Social Impact/ESG efforts.
  • Perform additional projects and functions as assigned.

Requirements

  • Juris Doctorate (J.D.) from an accredited law school.
  • Licensed to practice law in the United States with good standing in a state bar and no prior suspensions or disciplinary history.
  • Minimum of 7 years of combined experience in-house and/or at a law firm; experience in the biotech or pharmaceutical industry is preferred.
  • Self-motivated, proactive, strategic thinker with excellent judgment.
  • Ability to multitask, be flexible, and adapt quickly in a fast-paced environment.
  • Strong legal analysis and advisory skills with the ability to identify potential legal and compliance issues.
  • Effective oral presentation skills and ability to train and educate stakeholders on legal topics.
  • Strong organizational and project management capabilities.
  • Leadership skills with the ability to drive change, innovate, and communicate effectively across all levels of the organization.
  • Ability to foster engagement, drive results, and build trust through integrity and authenticity.

Compensation and Benefits

  • Base salary range: $224,000 to $336,000 annually, dependent on qualifications, experience, and other factors.
  • Eligibility for discretionary annual cash bonuses or incentive compensation.
  • Potential for discretionary equity grants.
  • Participation in benefits programs including medical, dental, vision insurance, 401(k) retirement savings plan, and flexible paid vacation.
