Overview

A global technology organization is seeking a Director and Senior Legal Counsel, Contracts to lead a team of two legal professionals and provide strategic legal advice supporting worldwide commercial transactions, regulatory compliance, data protection, and other legal areas. This role involves close collaboration with Sales, Procurement, Product, IT, and other business functions to deliver practical, business-oriented legal guidance while safeguarding the organization's interests.

Responsibilities

  • Lead, supervise, mentor, and develop a global contracts team, setting priorities, reviewing work, allocating resources, and driving operational excellence within the Legal & Compliance function.
  • Lead, draft, review, and negotiate a wide range of complex international agreements including SaaS, software, hardware, professional services, RFPs, NDAs, reseller, distributor, OEM, referral partner, technology partner, strategic alliance, and global procurement/vendor agreements.
  • Provide legal support and advice to Sales and other stakeholders on non-standard commercial terms, drafting new contracts aligned with business goals and legal risk management.
  • Advise on data privacy, cybersecurity, information security, artificial intelligence, regulatory compliance, sanctions, export controls, anti-bribery, anti-corruption, and other legal issues relevant to a global technology company.
  • Develop and deliver training on contract matters to internal stakeholders worldwide.
  • Gain a thorough understanding of the business, products, markets, customers, and partners to identify trends and formulate effective legal strategies.
  • Identify major legal and contractual issues promptly and escalate critical matters to the General Counsel as needed.
  • Manage contract lifecycle and perform other contract-related tasks and special projects as assigned.

Requirements

  • Minimum of five (5) years of progressively responsible legal experience focused on corporate and commercial transactions, with substantial in-house experience supporting a multinational public technology, SaaS, software, cybersecurity, fintech, payments, or other highly regulated technology company operating across multiple jurisdictions.
  • Significant experience negotiating complex enterprise technology agreements with global financial institutions, banks, payment providers, insurance companies, and other highly regulated customers, including addressing customer security, privacy, regulatory, operational resilience, audit, and compliance requirements.
  • Demonstrated expertise in artificial intelligence, data privacy, data protection, cybersecurity, information security, and technology-related contractual matters.
  • Experience drafting, negotiating, and advising on indirect channel relationships such as reseller, distributor, OEM, referral partner, technology partner, systems integrator, and strategic alliance agreements.
  • Proven ability to support cross-border business operations, including managing international legal matters and local counsel.
  • Familiarity with export controls, sanctions, anti-bribery, anti-corruption, and other international compliance obligations affecting global technology companies.
  • Intellectual curiosity and willingness to assume responsibility for unfamiliar legal subjects and rapidly develop expertise in new and evolving areas of law.
  • Ability to provide practical, risk-based legal advice across multiple legal disciplines in a global business environment.
  • Familiarity with revenue recognition issues within the software/technology industry.
  • Strong negotiation, leadership, collaboration, communication, and stakeholder-management skills.
  • Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
  • Ability to work fully remotely with occasional domestic and international travel.
  • Preference for candidates located in Eastern or Central time zones.

Compensation & Benefits

  • Salary range: $200,000 - $250,000 annually, depending on experience and qualifications.
  • Bonus opportunities available.
