Overview
This role supports an experienced attorney to assist an employee benefits practice across multiple active M&A transactions. The attorney will work closely with a partner and will handle employee benefits and executive compensation due diligence, including identifying and assessing benefits-related transaction risks.
This project starts ASAP, lasts 3+ months, is remote, and requires 20–40 hours/week.
Licensure requirement: Candidates must be licensed in the state where they live and practice.
Responsibilities
- Support employee benefits and executive compensation due diligence for active M&A transactions
- Conduct assessments of benefits-related transaction risks
- Prepare diligence materials
- Support representation and warranty insurance diligence
- Support the RWI diligence process as part of the transaction due diligence workstream
- Work independently with minimal oversight at a senior level
Requirements
- Hands-on experience conducting employee benefits and executive compensation due diligence in M&A transactions
- Experience supporting the RWI diligence process
- Senior experience sufficient to work independently with minimal oversight
- Must be licensed in the state where they live and practice
Compensation & Benefits
- Hourly rate expected to be between $120 and $130
- This range is an estimate; compensation will be based on qualifications, skillset, relevant experience, specific client needs, project requirements, and other considerations permitted by law
