Overview
A talent solutions firm specializing in the alternative investment industry is seeking experienced Chief Legal Counsel or General Counsel consultants. These consultants will provide expert legal and regulatory advice to clients including hedge funds, private equity firms, and family offices. Engagements are project-based and occur as client needs arise.
Responsibilities
- Serve as strategic legal advisor to Principals/Founders on all legal and regulatory matters affecting alternative asset firms and family offices, including securities laws, corporate governance, fund structuring, and compliance.
- Oversee regulatory compliance with laws such as the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and regulations from SEC, FINRA, NFA/CFTC, ERISA/DOL, and state securities regulators.
- Lead fund formation and structuring, drafting and negotiating formation documents including LPAs, LLC Agreements, PPMs, Subscription Agreements, Side Letters, and offering materials for various private investment vehicles.
- Negotiate investor documentation and terms, including side letters, fee arrangements, disclosure requirements, and customized investment terms for institutional investors and high-net-worth individuals.
- Draft and negotiate investment management agreements and structure separate account arrangements for US and non-US institutional clients.
- Provide legal guidance on investment transactions such as private equity investments, private credit transactions, real estate acquisitions, infrastructure investments, co-investments, secondary transactions, and complex deal structuring.
- Manage relationships with outside counsel, coordinating on fund formation, tax, ERISA compliance, international regulations, litigation, and complex transactions while managing legal budgets.
- Establish corporate governance frameworks, including board procedures, committee structures, conflict of interest policies, and entity management.
- Review and negotiate vendor and service provider agreements with fund administrators, prime brokers, auditors, technology providers, and others.
- Advise on employment and labor matters including employment agreements, compensation structures, restrictive covenants, employee handbooks, and compliance with employment laws.
- Monitor regulatory developments and implement necessary policy or operational changes.
- Support litigation and regulatory matters, managing discovery, subpoenas, examinations, investigations, and coordinating with outside litigation counsel.
- Develop legal policies and procedures such as compliance manuals, investment guidelines, trading policies, and disclosure frameworks.
- Provide legal and regulatory training for investment professionals, operations staff, and senior leadership.
- Lead special projects including new fund launches, strategy expansions, regulatory registrations, corporate restructurings, mergers and acquisitions, GP-led transactions, and cross-border expansions.
Requirements
- Bachelor’s Degree in Law, Finance, Business Administration, or related field.
- Juris Doctor or equivalent law degree.
- Member in good standing of the bar in one or more U.S. states.
- Minimum 12 years of experience as Chief Legal Counsel or General Counsel with a leading hedge fund or family office.
- At least 8 years of experience with federal securities laws and regulations applicable to financial institutions, including the Investment Company Act of 1940, Investment Advisers Act of 1940, and Securities Exchange Act of 1933.
- Extensive experience with various investment vehicles, security types, asset classes, and regulatory agencies in the U.S. and internationally.
- Excellent oral and written communication skills, with the ability to exercise sound judgment and discretion.
- Proven experience as the primary contact for legal and compliance-related inquiries.
- Ability to identify opportunities to improve processes and mitigate risk through legal and compliance integration.
