Fractional In-House Corporate & Commercial Counsel (Fully Remote)

Overview

A growing cybersecurity company is seeking a Fractional In-House Corporate & Commercial Counsel to provide legal support on a significant corporate transaction and manage day-to-day commercial contract requests. This is a fully remote, contract engagement requiring approximately 10–20 hours per week. Candidates must be U.S.-based.

Responsibilities

• Support legal leadership on a major corporate transaction
• Draft, review, and negotiate commercial agreements including client, vendor, and partner contracts
• Manage daily contract flow efficiently
• Provide practical, risk-balanced legal advice aligned with business objectives
• Assist with general corporate matters in a fast-paced, entrepreneurial environment

Requirements

• Minimum 3 years of experience in corporate and commercial contract law
• Experience supporting corporate transactions such as M&A, strategic transactions, or other large deals
• Proven ability to manage day-to-day contract requests
• Strong drafting and negotiation skills for commercial agreements
• Ability to work independently in a small-company setting
• Juris Doctor degree from an ABA-accredited law school with excellent academic credentials
• Licensed to practice law in at least one U.S. jurisdiction
• Excellent analytical, written, verbal, and interpersonal skills
• Outstanding professional references

Position Details

• Role type: Fractional in-house counsel engagement
• Schedule: Approximately 10–20 hours per week

Compensation & Benefits

• Annualized pay range (full-time equivalent): $160,000 to $210,000+
• Contract pay rates depend on experience, qualifications, location, market factors, and candidate preferences
• Contract professionals working 20+ hours per week are typically eligible for benefits including Group Life, Long-Term Disability, Accidental Death & Dismemberment insurance, a qualified 401(k) plan, and stipends for CLE and professional expenses
