Overview

A global investing platform is seeking a lead advisor to establish its US operating platform for fund structuring and regulatory compliance. This foundational role involves building the regulatory, operational, and financial infrastructure to support multiple general partners (GPs) scaling their funds confidently.

Responsibilities

Fund Structuring & Documentation

  • Draft and maintain template legal documents including Limited Partnership Agreements (LPAs), Private Placement Memorandums (PPMs), Reg D offering documents, and sub-advisory agreements for funds backed by the platform.
  • Advise GPs on entity choice (Delaware LP vs. LLC), co-investment structures, parallel funds for US taxable and foreign investors, and feeder fund structures.
  • Review and negotiate advisor agreements between the platform and GP sub-advisers, ensuring proper delegation, monitoring, and liability allocation.
  • Manage Reg D compliance including Form D filings, investor accreditation documentation, and delivery of offering memoranda.

Regulatory & Compliance Interface

  • Collaborate with the Chief Compliance Officer on Form ADV disclosures, material conflicts of interest, and regulatory obligations.
  • Draft conflicts of interest policies and disclosure matrices, ensuring all material conflicts are documented and communicated.
  • Advise on Anti-Money Laundering (AML), Know Your Customer (KYC) procedures, and custody rule compliance.
  • Monitor SEC guidance and private fund regulations, assessing impacts on the platform and updating templates accordingly.

Operational & Commercial Agreements

  • Draft custodial agreements, fund administration service agreements, and audit engagement letters.
  • Manage contracts with service providers including custodians, auditors, administrators, and tax advisors.
  • Own and update the platform's master service agreement (MSA) with GPs as operational or regulatory requirements evolve.

GP Diligence & Onboarding

  • Conduct legal due diligence on prospective GPs, reviewing prior fund documentation, litigation history, and regulatory background.
  • Advise senior management and investment committees on legal risks, GP track records, and regulatory flags.
  • Oversee GP onboarding including final documentation, investor communication, and legal handoffs to operations and compliance teams.

Strategic Advisory

  • Provide strategic advice on market positioning, competitive fund structure benchmarking, and emerging regulatory trends.
  • Participate in investment committee meetings to identify legal and regulatory risks early.
  • Build and manage relationships with specialized external counsel such as tax lawyers and Delaware counsel.

Requirements

Experience & Expertise

  • 10 to 18 years of experience in investment fund law, private equity structuring, or venture capital law.
  • Deep knowledge of Delaware limited partnerships, LLCs, and US fund documentation including LPAs, PPMs, and MSAs.
  • Strong understanding of Regulation D, Form D filings, investor accreditation rules, and anti-fraud provisions.
  • Familiarity with Advisers Act requirements, conflicts of interest disclosures, and custody rules.
  • Prior experience advising fund platforms, umbrella structures, or multi-GP environments is highly desirable.

  • Business-savvy legal advisor who understands how fund structures impact GP incentives, LP returns, and operational complexity.
  • Practical and proportionate approach focused on clarity and GP adoption rather than legal perfection.
  • Effective communicator capable of explaining complex legal concepts to non-lawyer stakeholders including GPs, LPs, and operations teams.
  • Entrepreneurial mindset with the ability to design scalable templates and processes rather than bespoke one-off advice.

Preferred Qualifications

  • Juris Doctor (JD) from a top 20 law school.
  • Bar admission in New York or Delaware.
  • Prior in-house counsel experience at a private equity firm, fund platform, or venture capital firm.
  • Exposure to European fund regulations (Luxembourg, Ireland) and cross-border structuring.
  • CPA or accounting background is a plus.

Compensation & Benefits

  • Location: Remote, with preferred US timezone overlap with San Francisco headquarters.
  • Salary Range: $220,000 to $320,000 base salary plus 25% bonus.
  • Equity: 0.15% to 0.35% equity participation (details to be determined).
  • Reporting to: US Platform Head / Managing Director.
  • Hiring Timeline: Within 1 to 3 months.

Location

Remote position with preference for candidates able to overlap with US West Coast (San Francisco) time zone.
