Overview
A fast-growing SaaS company specializing in web-based event management and sales platforms for restaurants, hotels, and unique venues is seeking an experienced General Counsel. This is the first dedicated legal executive role, offering the opportunity to build the legal function from the ground up and work closely with the CEO and leadership team on strategic decisions.
Responsibilities
- Serve as the primary legal advisor to the CEO, executive team, and board on business, legal, and governance matters
- Lead and manage all enterprise commercial contracting, including negotiation and execution of customer, vendor, and partner agreements
- Oversee privacy, data, and product legal counseling, including issues related to AI, data use, customer and vendor terms, and regulatory compliance
- Manage employment law matters, workplace investigations, and provide HR legal support
- Support board governance, investor relations, and sponsor-related legal needs, including preparation and management of board materials and equity matters
- Drive mergers and acquisitions, strategic transactions, and exit readiness efforts, including due diligence, deal structuring, and integration support
- Build and manage relationships with outside counsel, optimizing for quality and cost-efficiency
- Develop and maintain scalable legal policies, processes, and templates to support company growth
- Utilize AI-enabled tools and modern legal technology to improve efficiency, scalability, and decision-making within the legal function
Requirements
- 10+ years of legal experience, preferably with a combination of law firm and in-house roles
- Expertise in negotiating and managing complex enterprise commercial contracts, including SaaS agreements, MSAs, and data processing agreements
- Deep knowledge of privacy and data protection laws such as GDPR and CCPA, with experience advising product and engineering teams
- Experience handling employment law matters, including investigations, separation agreements, and day-to-day HR legal support
- Familiarity with board governance, equity management, and investor or sponsor reporting requirements
- Hands-on experience with M&A transactions, including due diligence, deal execution, and exit processes
- Ability to make sound decisions quickly with limited resources and build legal infrastructure efficiently
- Strong communication skills to translate complex legal issues into clear, practical guidance for non-legal stakeholders
- Proven track record of working cross-functionally and serving as a trusted business partner
- Proactive in identifying legal risks early
- Comfortable with ambiguity and motivated to define and build a legal function
- J.D. from an accredited law school and active bar membership in good standing
Compensation & Benefits
- Salary range: $245,000 to $275,000 annually, based on experience, skills, location, and internal compensation framework

Location
This position is open to remote candidates eligible to work in the United States. The first week of onboarding is in-person at the Concord, MA office. A hybrid work schedule is available for candidates based near Concord, MA. Additional travel may be required for meetings, company events, and training.
