Overview

A service and technology organization serving the Life Insurance and Annuity industry is seeking a General Counsel to provide legal guidance and support across the company. This role involves advising senior leadership on company strategies, managing legal resources, and assisting with complex business negotiations. The General Counsel will play a key role in the organization's strategic direction, development, and growth.

Responsibilities

Primary Responsibilities

  • Provide legal support for contracting, commercial transactions, and related areas across departments including Senior Leadership, HR, Business Development, Technology, Operations, Compliance, Data Privacy, Procurement, and Facilities.
  • Manage and optimize the use of internal and external legal resources.
  • Partner with business units to identify and manage risks, improve contracting and related processes, and support initiatives such as crisis management and government affairs.
  • Oversee commercial dispute resolution and litigation, including managing outside counsel and controlling related costs.
  • Lead process improvements in contracting, risk identification, and risk management.
  • Develop and update standard contracting policies, guidelines, and templates to reduce contracting cycle times.
  • Support the implementation and use of contract management and document management technologies.

Secondary Responsibilities

  • Oversee corporate insurance programs, including renewals, claims coordination, and vendor management.
  • Support training initiatives related to contracting, risk management, and compliance.
  • Assist with compliance activities including data privacy, regulatory inquiries, and IT governance.
  • Support Board of Directors initiatives, including preparation of materials and governance documentation.
  • Contribute to corporate governance processes ensuring policy and regulatory alignment.
  • Partner with HR on benefits and cross-functional support activities.
  • Maintain and enhance corporate policies and procedures.
  • Deliver training and awareness on legal, regulatory, and industry developments.
  • Support administrative aspects of 401(k) and employee benefits programs.
  • Perform additional duties as assigned.

Requirements

  • Expertise in drafting, reviewing, negotiating, and advising on a wide variety of commercial contracts including consulting services, master services agreements (SaaS and outsourcing), NDAs, software licensing, and IT agreements.
  • Ability to work effectively with colleagues, customers, and vendors to address business challenges.
  • Comfortable and effective in both leadership and team member roles.
  • Resourcefulness and accountability.

Education and Experience

  • Bachelor’s degree and Juris Doctor (JD) required.
  • Active membership in good standing with the Pennsylvania Bar or another State Bar, with ability to obtain In-House Counsel status as required.
  • Minimum 15 years of relevant experience, preferably including major law firm and in-house corporate legal department experience.
  • Proven success in contracting, negotiation, drafting, compliance, information technology, and general commercial legal matters.
  • Strong analytical, communication, and management skills.
  • Demonstrated ability to work across various disciplines and organizational levels.
  • Ability to apply sound commercial and legal judgment.
  • Experience managing multiple priorities effectively.
  • Diverse knowledge in supporting business objectives beyond traditional legal roles.

Compensation & Benefits

  • This is a full-time exempt position with flexible hours within core business hours.

Location

  • This position is fully remote, reporting out of the office located in Allentown, Pennsylvania.
  • Standard work schedule is 40 hours per week.
