Overview
This role involves serving as the first dedicated legal leader at a high-growth technology company specializing in real-time voice infrastructure. The legal function is integral to enabling faster product shipping and deal closing while managing risk effectively. The position requires hands-on management of all legal matters including customer contracts, privacy, open source licensing, corporate governance, and compliance.
Responsibilities
- Manage commercial contracting end to end, including customer MSAs, order forms, DPAs, BAAs, vendor agreements, and NDAs.
- Develop playbooks and contract templates to enable the go-to-market team to operate efficiently.
- Establish and oversee the privacy and data protection program, ensuring compliance with GDPR, CCPA/CPRA, and HIPAA.
- Act as the legal partner to Sales, Finance, Product, and Engineering teams to facilitate deal closures and product launches within acceptable risk parameters.
- Handle corporate and governance matters alongside Finance, including board consents, equity mechanics, and entity and cap-table maintenance.
- Define legal posture on open-source licensing, intellectual property, AI governance, and telecom/SIP regulatory issues.
- Manage outside counsel strategically to balance in-house work and external legal spend.
Requirements
- Experience as the first or one of the first in-house lawyers at a high-growth tech company, or senior commercial counsel prepared to lead a legal function.
- Strong expertise in commercial contracts, particularly enterprise, usage-based, and data-intensive agreements.
- Fluency in privacy and data protection laws including GDPR, CCPA/CPRA, and ideally HIPAA.
- Ability to operate independently as a legal team of one, creating playbooks and enabling business agility.
- Excellent judgment to identify and prioritize risks that matter under time pressure.
Preferred Qualifications
- Experience with open-source licensing and intellectual property.
- Background in developer infrastructure, real-time communications (WebRTC), telephony, or artificial intelligence.
- Knowledge of corporate governance, equity administration (including 409A valuations and board consents), and exposure to mergers and acquisitions.
- Familiarity with AI governance frameworks such as the EU AI Act and telecom regulations including E911, STIR/SHAKEN, and TCPA.
- Detail-oriented approach to contract review, with a knack for identifying overlooked clauses.
