Overview

This role involves serving as the primary in-house legal counsel for a leading software and services provider in the Bitcoin mining and compute infrastructure industry. The legal operator will manage the full spectrum of commercial, corporate, and regulatory legal work, leveraging AI tools to enhance efficiency and scalability. This position offers the opportunity to build and lead the legal function from the ground up, working closely with executive leadership and business teams.

Responsibilities

Commercial Contracts & Transactions

  • Structure, draft, review, negotiate, and manage commercial agreements including hardware purchase and sale agreements, compute offtake contracts, NDAs, referral agreements, licensing arrangements, and terms of service.
  • Utilize AI-powered first-pass review to quickly triage incoming contracts, identify non-standard terms and risks, and inform negotiation strategies.
  • Develop and maintain a contract playbook codifying preferred positions on key clauses such as liability caps, indemnification, IP ownership, termination, payment terms, and force majeure.
  • Manage vendor and counterparty relationships throughout the contracting process, including hardware OEMs, financial advisors, cloud and data center partners, and institutional customers.

Corporate Governance & Equity

  • Oversee corporate governance matters including board resolutions, shareholder consents, meeting minutes, and subsidiary maintenance.
  • Manage equity transactions such as stock transfers, option grants, and cap table management, coordinating with shareholder management platforms and using AI to automate agreement generation and data verification.
  • Build and maintain an AI-queryable corporate knowledge base containing key governance documents to enable instant access to information.
  • Support financing and M&A activities including structuring discussions, due diligence, negotiations, and transaction document review.

AI-Augmented Legal Operations

  • Design and implement AI-powered workflows for contract review, document assembly, signature tracking, compliance screening, and obligation management.
  • Use AI tools to automate contract analysis, generate risk assessments, populate agreement templates, and maintain a searchable contract repository with metadata extraction.
  • Develop prompts, playbooks, and reference materials to improve AI output quality and operational efficiency.
  • Establish and enforce a centralized document management system to eliminate fragmented storage.

Regulatory & Compliance

  • Monitor and advise on regulatory developments affecting Bitcoin mining, digital assets, GPU/compute infrastructure, and energy markets in relevant US and international jurisdictions.
  • Implement and manage OFAC/SDN compliance screening for counterparties, especially international hardware trading partners, using automated workflows.
  • Provide guidance on data privacy, export control, and sanctions compliance as the organization expands internationally.
  • Manage relationships with outside counsel for specialized matters such as litigation, tax, and international regulatory issues, ensuring cost-effective engagement.

Litigation & Dispute Management

  • Manage active and potential litigation matters including document preservation, discovery coordination, and oversight of outside counsel.
  • Develop and maintain litigation hold processes and templates.
  • Assess dispute risks in commercial relationships and advise on resolution strategies to prevent escalation.

Requirements

  • Admission to practice law in at least one U.S. state bar at the time of hire.
  • Minimum of one year of legal industry experience.

Preferred Qualifications

  • Experience with commercial contracts related to hardware, software, and financial transactions.
  • Familiarity with corporate governance and equity management.
  • Proficiency in leveraging AI tools for legal operations and contract management.
  • Knowledge of regulatory compliance in digital assets, energy markets, and international trade.
  • Ability to manage litigation and dispute resolution processes.
