Overview
This role is a fully remote, part-time in-house engagement supporting a large healthcare services organization. The position involves healthcare technology and commercial contract legal work during a period of substantial organizational growth.
The attorney will provide sophisticated support for technology and vendor agreements, including matters involving protected health information (PHI), employee and other sensitive data, artificial intelligence, data privacy and security, and mission-critical technology systems.
Responsibilities
- Draft, review, and negotiate technology and vendor agreements supporting a complex healthcare enterprise
- Advise business stakeholders on technology contracting matters, including risk identification and practical resolution strategies
- Work directly with internal teams (including business technology, revenue cycle, and other stakeholders) to:
- Understand business objectives
- Identify material legal and operational risks
- Independently drive agreements toward completion
- Serve as an extension of the existing in-house legal team, helping keep internal counsel focused on customer-facing commercial matters and other strategic business priorities
- Provide issue-spotting with a business-context approach—ask the right questions, assess risk in context, and recommend workable solutions
- Assist, as needed, with discrete corporate governance and related corporate matters
Requirements
- 5+ years of relevant commercial contracts and transactional experience
- Significant experience drafting, reviewing, and negotiating sophisticated technology, SaaS, software, licensing, services, and vendor agreements
- Meaningful experience addressing data privacy and security issues arising in technology transactions
- Experience negotiating agreements involving protected health information (PHI) and other sensitive or regulated data
- Ability to independently manage sophisticated contract negotiations and directly advise technology and business stakeholders
- Practical understanding of commercial risk allocation, including the ability to distinguish material legal and business risks from lower-priority contractual issues
- Excellent academic credentials from an ABA-accredited law school
- Excellent analytical, written, verbal, and interpersonal skills
- Licensed to practice law in at least one U.S. jurisdiction and eligible to practice in-house
- Outstanding professional references
Preferred Qualifications
- Healthcare industry experience
- Experience with artificial intelligence agreements, AI-enabled products, and/or other emerging technologies
- Experience working with mission-critical enterprise technology systems
- Corporate governance experience
- Prior in-house counsel experience
Compensation & Benefits
- Pay (annualized, full-time basis calculation): ranges from $200,000 to $280,000 or more
- Contract engagement pay is based on multiple factors, including work experience, qualifications, credentials, location, market supply/demand, and candidate preference.
- Benefits: Contract professionals are typically W2 employees and may be eligible for full benefits when working in roles for 20 hours per week.
