Overview
An established California-based healthcare services organization is seeking an experienced part-time Healthcare Corporate & Transactional Counsel. This in-house counsel role focuses on physician practice acquisitions, strategic healthcare transactions, and a broad range of commercial legal matters within a rapidly growing, private equity-backed healthcare platform.
This position requires a healthcare attorney who thrives in a fast-paced, high-volume environment, exercises sound judgment, demonstrates strong initiative, and works with minimal supervision. The role involves serving as a key legal partner to internal stakeholders across acquisitions, commercial transactions, and strategic initiatives.
The successful candidate will navigate evolving processes, shifting priorities, and incomplete information while maintaining exceptional attention to detail. This role also offers the opportunity to help shape the legal department's evolution by improving legal operations infrastructure, standardizing documentation, creating scalable workflows, and enhancing overall efficiency.
Responsibilities
- Manage physician practice acquisitions and other complex healthcare transactions
- Provide legal support for strategic healthcare transactions and commercial matters
- Draft, review, negotiate, and manage purchase agreements and ancillary transaction documents
- Independently manage sophisticated transactional matters with sound legal and business judgment
- Proactively identify legal and business issues and apply lessons learned across related documents
- Provide practical, concise, and actionable legal advice to executives and operational stakeholders
- Manage multiple concurrent healthcare transactions in a fast-paced environment
- Support the improvement of legal infrastructure, including contract management systems, document repositories, playbooks, templates, and scalable workflows
- Participate in recurring legal team meetings, transaction meetings, negotiations, and collaborative discussions
Requirements
- Minimum 5 years of experience practicing healthcare transactional law, corporate transactions, M&A, physician practice acquisitions, or a combination thereof
- Prior experience at an AMLaw 100 or similarly sophisticated law firm strongly preferred
- Substantial healthcare industry experience advising healthcare providers, systems, physician groups, management services organizations (MSOs), or similar entities
- Significant experience handling California healthcare transactions
- Strong drafting, reviewing, negotiating, and management skills for purchase agreements and ancillary documents
- Proven ability to manage complex transactions independently with minimal supervision
- Demonstrated responsiveness, follow-through, and exceptional project management skills
- Ability to operate effectively in an entrepreneurial, rapidly evolving legal department with shifting priorities and ambiguity
- Experience building or improving legal infrastructure is strongly preferred
- Familiarity with healthcare regulatory considerations in transactional settings
- Experience reviewing and negotiating a broad range of commercial agreements (vendor, services, employment-related, ancillary transactional documents) is a plus
- Prior in-house experience preferred but not required
- California Bar licensure preferred but not required
- Excellent academic credentials from an ABA-accredited law school
- Strong analytical, written, verbal, and interpersonal skills

Position Details
- Role Type: Contract In-House Engagement (Contract Attorney)
- Schedule: Part-Time, approximately 25 hours per week
- Work Hours: Flexible schedule with availability required during normal business hours for meetings and collaborative discussions
- Location: Fully remote with potential hybrid arrangement for candidates located in Southern California
Compensation & Benefits
- Annualized pay range (full-time equivalent): $210,000 to $250,000 or more, based on experience, qualifications, location, and market factors
- Contract professionals are typically W-2 employees eligible for full benefits when working 20+ hours per week
