In House Products Counsel (Contract)

Overview

An organization is seeking an attorney with over 8 years of legal experience in a large law firm and/or in-house legal department to focus on product development and strategic partnership transactions. This remote contract role involves drafting and negotiating product development and partnership agreements, including product integration, co-development, technology licensing, and other partnerships involving payroll and technology providers.

Responsibilities

• Draft, negotiate, and review complex agreements related to technology, SaaS, strategic partnerships, API integrations, and channel partnerships.
• Work on product integration, co-development, technology licensing, and other strategic partnerships involving payroll and HCM services.
• Review engineering and product design specifications as well as go-to-market collateral to ensure legal and regulatory compliance.
• Analyze products, services, features, and initiatives to provide practical legal risk mitigation strategies.
• Develop, update, and maintain contract templates, negotiation playbooks, and legal review resources for product development.

Requirements

• Minimum of 8 years of legal experience drafting, negotiating, and reviewing development and partnership agreements.
• Experience with transactions involving payroll, HCM services, and technology providers.
• Ability to independently draft agreements, negotiate, and problem-solve complex transactions.
• Strong communication skills to effectively convey legal issues to non-lawyers.
• Excellent academic credentials from a U.S. accredited law school.
• Licensed and in good standing to practice law in the state of residence.
• Capability to work independently and collaboratively.
• Outstanding professional references.

Position Details

• Schedule: Part-time, approximately 20 hours per week

Compensation & Benefits

• Annualized compensation (full-time equivalent) ranges from $170,000 to $200,000 or more, based on experience, qualifications, credentials, and location.
• Contract attorneys are W2 employees eligible for full benefits when working 20 hours per week, including a qualified 401(k) plan.
• Benefits include complimentary Group Life, Long-Term Disability (LTD), Accidental Death & Dismemberment (AD&D), and professional liability insurance.
• Attorneys receive a Continuing Legal Education (CLE) and professional expense stipend.
