Overview
This is a remote, work-from-home Internal Counsel position, ideally based in the Eastern or Central Time Zones. Some travel will be required for client meetings, internal meetings, conferences, and other events.
The organization has experienced significant growth and now operates globally across Europe, Latin America, Asia, and Australia. With over 300 employees worldwide, the legal needs have become increasingly complex. This role serves as the primary in-house legal resource focusing on contracts and occasionally supporting compliance, data privacy, and HR matters.
The Internal Counsel will provide practical, risk-balanced legal guidance to enable commercial objectives across a globally distributed business.
Responsibilities
- Own the end-to-end client contract process: draft, review, and negotiate client services agreements ensuring legal soundness and alignment with business interests.
- Collaborate with sales teams to negotiate non-standard contract terms.
- Serve as the primary legal contact for vendor agreements, ensuring compliance with company policies and applicable international, federal, and state regulations.
- Assess vendor data privacy and security standards, including data processing, cross-border transfer mechanisms, and confidentiality obligations.
- Manage low-level disputes and legal inquiries, providing practical guidance and liaising with external counsel for complex issues.
- Draft and manage legal correspondence related to disputes, such as demand letters and cease and desist notices.
- Advise the People team on employment-related legal questions, including compliance, policies, and employee relations, escalating complex matters to external counsel as needed.
- Support corporate governance matters across global entities, including drafting resolutions and coordinating entity management and filings.
- Maintain accurate records of all contracts, monitor timelines, and manage renewals, extensions, and close-outs.
- Proofread and fact-check legal documents for accuracy and clarity, communicating contract terms effectively to non-legal colleagues.
Requirements
- Juris Doctor (J.D.) degree and active bar membership (or retired in good standing).
- Minimum of 8 years of legal experience with significant depth in contract law.
- Prior in-house or agency/services industry experience preferred.
- Experience with data protection and privacy matters (e.g., GDPR, cross-border data transfers, Data Processing Agreements) strongly preferred.
- Experience advising on employment and HR-related legal matters is a plus but not required.
- Strong written and verbal communication skills with the ability to work cross-functionally.
- Comfortable handling international contracts and multi-jurisdictional legal considerations.
- Ability to operate independently with sound judgment and know when to escalate issues.
- Organized, deadline-driven, and able to take personal ownership of work.
- Ability to translate complex legal language into clear, practical guidance for non-lawyers.
- Comfortable working remotely and communicating proactively with distributed teams.

Success Metrics
- Within 3 months: Full command of existing contract library, processes, and active client agreements; integrated into sales and people team workflows; independently handling routine contracts.
- Within 6 months: Trusted legal resource managing all contracts, advising on disputes and HR matters without escalation; contributing to process improvements that reduce risk and improve efficiency; proactive partner to cross-functional teams.
Compensation & Benefits
- Target base salary: $160,000 - $180,000 plus bonus, depending on location and experience.
