Overview

This is a remote, work-from-home Internal Counsel position, ideally based in the Eastern or Central Time zones. Some travel will be required for client meetings, internal meetings, conferences, and other events.

The organization has experienced significant growth and now operates globally across Europe, Latin America, Asia, and Australia. With over 300 employees worldwide, the legal needs have become increasingly complex. This role serves as the primary in-house legal resource focusing on contracts, with occasional support for compliance, data privacy, and HR-related legal matters.

The Internal Counsel will provide practical, risk-balanced legal guidance to support commercial objectives across a globally distributed business.

Responsibilities

  • Manage the end-to-end client contract process, including drafting, reviewing, and negotiating client services agreements aligned with business and client needs.
  • Collaborate with sales teams to negotiate non-standard contract terms.
  • Serve as the primary legal contact for vendor agreements, ensuring compliance with company policies and applicable international, federal, and state regulations.
  • Assess vendor contracts for data privacy and security standards, including data processing, cross-border transfers, and confidentiality obligations.
  • Handle routine disputes and legal inquiries, providing practical guidance and managing legal correspondence such as demand letters and cease and desist notices.
  • Coordinate with external counsel on complex litigation, regulatory matters, or high-risk disputes.
  • Advise the People team on employment-related legal questions, compliance, policies, and employee relations, escalating complex or multi-jurisdictional issues as needed.
  • Support corporate governance activities, including drafting company resolutions and coordinating entity management and filings.
  • Maintain accurate contract records, monitor timelines, and manage renewals, extensions, and contract close-outs.
  • Proofread and verify legal documents for accuracy and communicate contract terms clearly to non-legal colleagues.

Requirements

  • Juris Doctor (J.D.) degree and active bar membership (or retired in good standing).
  • Minimum of 8 years of legal experience with significant depth in contract law.
  • Prior in-house or agency/services industry experience preferred.
  • Strong familiarity with data protection and privacy matters such as GDPR, cross-border data transfers, and data processing agreements.
  • Experience advising on employment and HR legal matters is a plus but not required.
  • Excellent written and verbal communication skills with the ability to work cross-functionally.
  • Comfortable handling international contracts and multi-jurisdictional legal considerations.
  • Ability to operate independently with sound judgment on when to escalate issues.
  • Organized, deadline-driven, and able to take personal ownership of work.
  • Ability to translate complex legal language into clear, practical guidance for non-lawyers.
  • Comfortable working remotely and communicating proactively with distributed teams.

Preferred Qualifications

  • Practical, business-minded approach balancing legal risk with commercial objectives.
  • Experience working in a fast-moving environment and acting as a trusted legal advisor.

Success Milestones

  • Within 3 months: Full understanding of existing contract library, processes, and active client agreements; integrated with sales and people teams; independently handling routine contracts.
  • Within 6 months: Recognized as a trusted legal resource managing all contracts, advising on disputes and HR matters without escalation, contributing to process improvements, and proactively identifying legal risks.

  • Target base salary range: $160,000 to $180,000 plus bonus, depending on location and experience.
