Overview
A legal technology organization is seeking a Junior Startup Lawyer to join their legal team. This role involves working alongside senior attorneys and AI agents on emerging company and venture capital (ECVC) legal matters. The position offers the opportunity to learn quickly while contributing from day one in an AI-first environment.
Responsibilities
- Review and quality check AI-generated entity formation documents, including founder agreements, bylaws, and initial governance documents.
- Review AI-drafted venture financing documents such as SAFEs, convertible notes, and priced round documents (Seed through Series B+).
- Refine investor communications and identify issues requiring senior attorney input.
- Review and finalize AI-drafted corporate governance documents including board resolutions, stockholder consents, equity plan documents, and annual compliance filings.
- Review AI output related to SaaS agreements, licensing, vendor contracts, and privacy/data compliance, applying legal judgment where AI is insufficient.
- Communicate directly with founders and investors early in the process.
Requirements
- 1–3 years of experience at a top law firm with an emerging company and venture capital practice (examples include Cooley, WSGR, Goodwin, Fenwick, Gunderson, Orrick, or equivalent BigLaw).
- Juris Doctor (JD) from a top law school.
- Active bar membership (California or New York preferred; other U.S. jurisdictions considered).
- Exceptional attention to detail in documents and communication.
- Strong legal reasoning skills; intellectually rigorous and quick thinking.
- High work output and ability to keep pace in a fast-moving environment.
- Coachable with a growth mindset; receptive to feedback and continuous improvement.
- Genuine passion for startups, founders, and the venture ecosystem.
- Fluency in AI tools such as Claude or ChatGPT for research and drafting.
Preferred Qualifications
- Exposure to startups through in-house internships, legal operations, hackathons, or personal side projects.
- Systems thinking with the ability to identify patterns across deals.
- Builder mindset focused on shaping the future of legal practice rather than traditional billable hours.
