Overview
A growing SaaS company headquartered in Sherwood Park, Alberta, is seeking an experienced Lawyer - In-House Legal Counsel. This role can be filled remotely or in-person and involves providing broad legal support with a focus on corporate and commercial contracts, particularly SaaS and technology agreements. The legal counsel will serve as the primary legal resource, working closely with leadership and cross-functional teams to manage legal risk and support business growth.
Responsibilities
- Draft, review, and negotiate commercial agreements including SaaS subscription agreements, master service agreements (MSAs), data processing agreements (DPAs), vendor agreements, and non-disclosure agreements (NDAs)
- Develop and maintain contract templates, standard clauses, and fallback positions to improve consistency and efficiency
- Proactively identify legal, regulatory, contractual, and privacy risks and recommend practical mitigation strategies
- Partner with the Risk and Compliance team to provide legal guidance and ongoing support
- Collaborate with Sales, Customer Experience, Product, Engineering, Security, and Finance teams to understand business operations and legal risk areas
- Serve as the designated Privacy Officer or privacy lead, ensuring compliance with applicable privacy and data protection laws
- Coordinate with external legal counsel for specialized or complex matters, managing scope and costs
- Build and maintain legal documentation, playbooks, and internal guidance to support decision-making
- Support general corporate, compliance, and governance matters, including due diligence and strategic initiatives
Requirements
- Minimum 3 years of legal experience with a strong foundation in commercial contracts, legal risk, and compliance, preferably in a software or technology environment
- Exceptional attention to detail
- Ability to take ownership of problems, including those outside comfort zones, and find solutions
- Proactive approach to identifying risks and asking pertinent questions
- Ability to operate independently, manage competing priorities, and escalate issues appropriately
- Curiosity about business operations and a desire to understand the organization deeply
- Clear and practical communication skills that simplify legal guidance
- Humility, eagerness to learn, and comfort in seeking help when needed
- Pragmatic, business-minded approach to legal risk management
- Membership in good standing with the Law Society of Alberta or willingness to obtain it upon selection
Preferred Qualifications
- Previous in-house legal experience, especially within SaaS or technology-driven companies
- Familiarity with privacy, data protection, and security concepts in a software business context
- Experience supporting companies with revenues between $10M and $50M
- Exposure to contract lifecycle management tools or contract automation
