Overview
A healthcare technology organization is seeking a Lead Commercial Counsel to serve as a trusted legal partner across various transactional and strategic initiatives. This senior individual contributor role reports to the Chief Legal Officer and focuses on building scalable legal infrastructure to support rapid growth and complex healthcare operations. The position offers opportunities to engage in commercial contracts, corporate governance, product counseling, and regulatory strategy.
Responsibilities
- Lead drafting and negotiation of key agreements including Master Service Agreements (MSAs), Business Associate Agreements (BAAs), and strategic partnerships.
- Develop playbooks and contract templates to increase deal velocity and clarity.
- Architect and manage the legal technology stack, including Contract Lifecycle Management (CLM) and Legal AI tools.
- Automate legal workflows and identify process improvements to transform legal operations into a data-driven, scalable function.
- Act as a strategic legal advisor to business teams, supporting product integration, healthcare regulatory compliance, and corporate initiatives such as governance and equity.
- Translate complex regulatory frameworks into practical guidance to enable business objectives while managing risk.
Requirements
- Juris Doctor (JD) degree and admission to a U.S. state bar.
- 6 to 10+ years of experience with a strong background in commercial and healthcare legal counseling, preferably in a high-growth, in-house environment.
- Proven expertise in legal operations, including evaluating, implementing, and managing legal technology and building contract workflows.
- Demonstrated ability to thrive in startup or "zero to one" environments, managing ambiguity and building order.
- Strong strategic versatility with interest or experience in one or more of the following areas:
- Product/Marketplace legal support for tech-enabled services or advocate matching workflows.
- Corporate governance, board preparation, and financing rounds.
- Healthcare regulatory compliance across multiple states, including privacy.
- Excellent legal judgment with a business-first communication style.
- Collaborative, low-ego approach with the ability to influence stakeholders across the organization.
- Must be based in the United States.
Preferred Qualifications
- Experience leading or supporting legal functions in healthcare technology or patient advocacy sectors.
- Familiarity with healthcare regulatory frameworks and privacy laws.
- Background in building legal infrastructure from the ground up.
