Overview

This role involves serving as Lead Commercial Legal Counsel, focusing on commercial contracting across the Americas. Reporting to the Director of Legal, Commercial, the position requires independently leading strategic, complex, and high-value transactions. The role supports Sales and cross-functional teams by providing practical legal guidance that balances business objectives with risk management, particularly in large-enterprise, technology, and AI-related agreements.

Responsibilities

  • Negotiate complex commercial and technology agreements, including enterprise software, SaaS, partnership, services, consulting, marketing, licensing, data privacy, and AI-related contracts.
  • Provide end-to-end legal support for strategic large-enterprise transactions in the Americas, with emphasis on AMER Enterprise matters.
  • Advise Sales leadership and cross-functional partners on contract structure, negotiation strategy, and risk allocation.
  • Assess legal and commercial risks in complex transactions and offer clear recommendations, escalation paths, and practical alternatives.
  • Develop and enhance templates, playbooks, policies, and documentation to ensure consistent deal execution.
  • Monitor relevant legal and regulatory developments and translate them into actionable guidance.
  • Mentor contract managers and junior legal staff by sharing expertise, supporting training, and improving team contracting practices.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school and active bar membership in at least one U.S. state.
  • Significant experience in law firm and/or in-house legal roles focused on commercial and technology transactions.
  • Proven track record negotiating and closing complex enterprise agreements involving software, SaaS, services, partnerships, data privacy, and AI-related terms.
  • Ability to independently manage a high volume of strategic legal matters and bring them to resolution with limited supervision.
  • Strong judgment in identifying, evaluating, and mitigating legal and business risks in sophisticated contracts.
  • Clear communication skills and ability to build trusted relationships with senior stakeholders across Sales and cross-functional teams.
  • Experience creating or improving templates, playbooks, processes, and documentation to support consistent outcomes at scale.
  • Capability to work effectively in a remote, globally distributed environment.

Preferred Qualifications

  • Experience with enterprise technology and AI-related contracting.
  • Background in mentoring and developing junior legal professionals.

Compensation & Benefits

  • United States base salary range: $139,200 to $216,000 USD.
  • Sales roles may be eligible for incentive pay up to 100% of base salary.
