Overview

A leading technology organization is seeking a Lead (Senior II) Counsel to join their Commercial Legal Team. This role provides essential legal support to North America-based Sales Teams, focusing on commercial and legal matters.

Responsibilities

  • Provide first-line, client-focused legal support to North America Sales teams on commercial and legal issues
  • Review and negotiate a variety of commercial agreements, including SaaS agreements, master services agreements, data processing agreements, consulting agreements, non-disclosure agreements, partnership agreements, and statements of work
  • Collaborate closely with Sales and Deal Desk stakeholders to understand business objectives and challenges, driving strategic improvements
  • Partner with internal technology teams to develop AI-powered tools and processes that deliver business impact
  • Work alongside legal, compliance, and cross-functional groups to address customer needs while effectively managing organizational risk

Requirements

  • Graduate of an accredited law school
  • Minimum of 5+ years of relevant in-house legal experience
  • Licensed and in good standing to practice law as a member of a State Bar Association or equivalent professional qualification
  • Significant experience independently negotiating Enterprise SaaS contracts, including within highly-regulated industries such as Financial Services and Healthcare
  • Excellent legal drafting and writing skills
  • Strong foundation in data protection and privacy law
  • Ability to partner cross-functionally with business stakeholders to understand strategic goals and provide informed recommendations
  • Capable of making decisions and explaining rationale clearly to team members
  • Efficient and effective working style in a fast-paced, transparent environment
  • Enthusiasm for delivering innovative solutions beyond existing playbooks
  • Customer-oriented mindset with a focus on solving for the customer
  • Experience integrating technology and building/using AI tools in legal practice
  • Strong relationship-building skills based on trust
  • Excellent communication skills, especially via internal tools such as Slack and Zoom
  • Self-driven and solution-oriented

Preferred Qualifications

  • Experience working in or with regulated industries
  • Familiarity with AI integration in legal workflows

Compensation & Benefits

  • Annual cash compensation range: $173,000 to $277,000 USD, including base salary, on-target commission (if applicable), and annual bonus targets
  • Some roles may be eligible for equity participation through restricted stock units (RSUs)
  • Individual compensation packages are tailored based on skills, experience, and qualifications

Location & Work Environment

  • The role supports North America Sales teams and may involve remote or office-based work
