Overview
A global life sciences organization is seeking a Legal Counsel to provide strategic and practical legal support focused on commercial operations and growth initiatives. This role involves partnering with business leaders and cross-functional teams to deliver legal and compliance guidance that aligns legal risk with business objectives. The Legal Counsel will draft, review, and negotiate a wide range of agreements and support commercial initiatives across multiple regions.
This position reports to the Assistant General Counsel and is part of the Legal function. The role is remote, with a preference for candidates located within commutable distance to the Indianapolis, IN office.
Responsibilities
- Lead the review, drafting, and negotiation of complex global commercial agreements, including sales, procurement, distribution, SaaS, licensing, and joint development agreements.
- Provide pragmatic legal counsel on commercial matters, compliance, and data privacy, balancing legal risk with business goals.
- Enhance legal operations by improving processes, maintaining global contract templates, and standardizing policies and procedures.
- Support enterprise priorities such as mergers and acquisitions and cross-functional initiatives.
- Collaborate closely with intellectual property, regulatory, compliance, and privacy teams.
- Contribute to litigation or regulatory matters as needed.
- Build strong partnerships across the organization and the broader legal network, leading initiatives and fostering continuous improvement.
Requirements
- Licensed U.S. attorney with at least 3 years of experience, including time at a nationally recognized law firm and in-house counsel experience (life sciences experience preferred).
- Active U.S. Bar membership in good standing.
- Excellent academic credentials.
- Demonstrated leadership and strategic thinking abilities, including mentoring and team building.
- Substantial experience in deal negotiation and leadership on executed transactions such as partnerships, collaborations, licensing, M&A, and research agreements.
- Ability to manage multiple priorities and stakeholders concurrently.
- Experience leveraging AI tools and technologies to improve legal processes and efficiency.
- Ability to travel globally up to 20% of the time.
Preferred Qualifications
- Experience with healthcare regulation.
- Experience with software licensing.
Compensation & Benefits
- Salary range: $120,000 - $150,000 (may be adjusted).
- Eligibility for bonus/incentive pay.
