Overview

A growing global legal team is seeking a commercially minded, US-qualified lawyer with strong commercial and compliance expertise. This role is ideal for someone with solid in-house experience in technology or SaaS sectors, preferably healthcare SaaS (SaMD) or teleradiology, who is motivated by building practical commercial and compliance frameworks in a fast-paced, highly regulated scale-up environment. Experience at a top-tier US or international law firm is also valued. The position is remote with significant overlap required with Australia (Sydney) and UK/EU time zones.

Responsibilities

Commercial Contracting

  • Draft, review, and negotiate a variety of commercial agreements including NDAs, MOUs, enterprise SaaS agreements, distribution and partnership agreements, EULAs, BAAs, customer and sales agreements, and government tender documentation.
  • Support negotiations on both customer and vendor sides, ensuring contractual terms comply with regulatory requirements.
  • Provide practical, business-oriented legal and compliance advice to internal stakeholders, especially commercial and sales teams.
  • Develop, improve, and scale contract management systems, processes, and approval workflows; create and revise contract templates.

Global Legal & Governance Support

  • Provide legal and compliance support across multiple jurisdictions including the US, Canada, EU/UK, and Australia.
  • Advise on corporate governance and compliance matters; support General Counsel and Company Secretary on governance processes for US entities.
  • Work flexibly across time zones to support a global, regulated organization.

Regulatory & Compliance

  • Act as a day-to-day compliance partner, identifying, assessing, and mitigating legal and regulatory risks across products and operations.
  • Advise on US healthcare and medical-device regulatory frameworks relevant to healthcare SaaS / SaMD and teleradiology (e.g., HIPAA, FDA, FTC, Stark Law, Anti-Kickback Statute, fraud-and-abuse rules, corporate practice of medicine).
  • Monitor regulatory developments affecting the business.
  • Develop, implement, and maintain compliance policies, procedures, controls, and training; embed compliance-by-design into product, commercial, and operational workflows.
  • Support compliance monitoring, audits, due diligence, risk assessments, and manage regulatory queries, investigations, and remediation.

Data Privacy & Security

  • Collaborate with privacy and security specialists on HIPAA, GDPR, CCPA, and other region-specific requirements.
  • Advise on lawful handling of health and personal data.
  • Draft and negotiate BAAs, data processing agreements, and related terms.
  • Help maintain the company’s privacy compliance posture.
  • ISO and SOC2 compliance experience is advantageous.

Requirements

  • US-qualified lawyer with 3–6 years post-qualification experience.
  • Licensed in New York and/or California preferred but not required.
  • In-house experience in technology, SaaS, or healthcare sectors (including health systems, hospitals, or universities) with meaningful exposure to compliance and regulatory matters.
  • Working knowledge of HIPAA and US regulatory frameworks relevant to healthcare and SaaS (e.g., FDA, FTC).
  • Solid commercial contracting experience across SaaS, technology transactions, or teleradiology services.
  • Prior training at a top-tier or international law firm is highly regarded.

Preferred Qualifications

  • Experience building or operating compliance programs, policies, controls, or training in regulated environments, including teleradiology MSO-PC structures.
  • Familiarity with global privacy laws (GDPR, CCPA) and experience negotiating BAAs and data processing agreements.
  • Relevant privacy or compliance certification (e.g., CIPP/US) is a plus.
  • Experience supporting sales organizations and working in fast-paced, high-pressure, deal-driven environments.
  • Exposure to government procurement and tender processes.
  • Hands-on experience with contract management and automation tools; experience creating, revising, and implementing contract templates.
  • Prior experience in healthcare SaaS, radiology, or teleradiology businesses.
